GREENSBORO, N.C.–(BUSINESS WIRE)–
Kontoor Brands, Inc. (NYSE: KTB) today reported financial results for its third quarter ended October 3, 2026.

“Our third quarter results were driven by growth in both Wrangler and Helly Hansen, strong earnings and gross margin expansion,” said Scott Baxter, Chief Executive Officer and Chairman of the Board of Directors. “Execution excellence remains a critical focus of our organization as we delivered strong business results, successfully completed the divestiture of Lee, advanced our integration of Helly Hansen, and realized additional synergies through optimization of our tax platform. Kontoor enters its next chapter as a more focused company anchored around two iconic brands with stronger growth profiles that position us well for the future.”

Joe Alkire, Kontoor Brands’ President and Chief Financial Officer continued, “We are building a more growth-oriented business through our transformation efforts and the evolution of our portfolio. These efforts are enabling us to attract top-tier talent, create investment capacity and enhance organizational agility, positioning us well to win in any environment. We have increased our planned share repurchases to $450 million based on the confidence we have in our long-term strategy and the significant value-creation opportunity ahead. Based on our year-to-date results and the optionality of our model, we are raising our full year earnings outlook.”

$400 Million Accelerated Share Repurchase Program

Kontoor Brands, Inc. today announced it expects to enter into Accelerated Share Repurchase (“ASR”) agreements in early November 2026 with financial institutions (the “Dealers”) to repurchase $400 million of Kontoor common stock. The ASR will be completed under the Company’s existing $750 million share repurchase authorization. Under these agreements, Kontoor Brands will make a total payment of $400 million to the Dealers and expects to receive initial delivery of approximately 80 percent of the expected shares to be repurchased under the ASR agreements.

The final number of Kontoor’s common shares to be repurchased will be based on the volume-weighted average price of Kontoor’s common shares during the term of the ASR agreements, less a discount and subject to customary adjustments. The final settlement of the transactions under the ASR agreements is expected to occur in the first half of 2027.

Kontoor Brands is funding the share repurchases under the ASR agreements with a portion of the $698 million of net proceeds received from the sale of the Lee business. Upon completion of the planned share repurchases in the fourth quarter, the Company expects to have approximately $230 million remaining under its existing share repurchase authorization.

Wrangler brand global revenue was $485 million and increased 3 percent compared to prior year. U.S. revenue increased 2 percent, driven by a 7 percent increase in direct-to-consumer. U.S. wholesale increased 2 percent compared to prior year. International revenue increased 6 percent compared to prior year, driven by a 25 percent increase in direct-to-consumer and a 4 percent increase in wholesale.

Helly Hansen brand global revenue was $191 million and increased 3 percent compared to prior year. Sport revenue was $147 million and increased 2 percent compared to prior year. Workwear revenue was $44 million and increased 5 percent compared to prior year.

Gross margin on a reported basis increased 830 basis points to 48.3 percent. On an adjusted basis, gross margin increased 230 basis points to 48.1 percent compared to prior year, driven by the benefits from Project Jeanius, and the impact of favorable business mix and pricing, net of changes in product costs.

Selling, General & Administrative (SG&A) expenses were $254 million, or 37.1 percent of revenue on a reported basis. On an adjusted basis, SG&A expenses increased to $229 million, or 33.4 percent of revenue. The increase in SG&A expenses was driven by incremental overhead and other expenses previously allocated to Lee, increased investments in direct-to-consumer, demand creation and technology, partially offset by the benefits from Project Jeanius.

Operating income was $77 million on a reported basis. On an adjusted basis, operating income was $101 million and increased 6 percent compared to prior year. Adjusted operating income included incremental overhead and other expenses previously allocated to Lee. Adjusted operating margin was 14.7 percent, reflecting a 40 basis point increase compared to prior year.

Diluted earnings per share (EPS) was $(0.62) on a reported basis including a non-cash tax charge of $1.73 related to the migration of Helly Hansen intellectual property, supporting integration synergies and a simplified operating structure. On an adjusted basis, EPS was $1.50, reflecting an increase of 40 percent compared to prior year.

Balance Sheet and Liquidity from Continuing Operations Review

The Company ended the third quarter with $56 million in cash and cash equivalents, and $1.1 billion in long-term debt. At the end of the third quarter, the Company had no outstanding borrowings under the Revolving Credit Facility and $493 million available for borrowing against this facility.

Inventory at the end of the third quarter was $570 million, down 6 percent compared to prior year driven by a reduction in inventory in the Helly Hansen business.

As previously announced, the Company’s Board of Directors declared a regular quarterly cash dividend of $0.54 per share, payable on December 18, 2026, to shareholders of record at the close of business on December 8, 2026.

The Company returned $49 million to shareholders through dividends and share repurchases during the third quarter, including the repurchase of $20 million of common stock. Year-to-date, the Company repurchased $95 million of common stock. At the end of the third quarter, the Company had $680 million remaining under its existing share repurchase authorization.

Tariff Update

Following the U.S. Supreme Court’s ruling that the International Emergency Economic Powers Act (“IEEPA”) does not authorize tariffs, the U.S. Court of International Trade ordered U.S. Customs and Border Protection to refund all IEEPA duties previously paid. During the first quarter of 2026, the Company recognized a net receivable of $54 million based on the probability of the recovery of IEEPA tariffs previously paid. As of the end of the third quarter, the Company has received essentially all outstanding IEEPA tariff refunds.

In May 2026, the U.S. Court of International Trade ruled that Section 122 tariffs were also invalid and these tariffs expired on July 24, 2026. The Company’s year-to-date financial results include the previously paid and expensed tariffs under Section 122. The Company has not recorded a receivable related to Section 122 tariffs and continues to monitor ongoing litigation related to the potential recovery of these tariffs.

In July 2026, the Office of the U.S. Trade Representative implemented new Section 301 tariff rates of between 10 percent and 12.5 percent on products imported from the majority of the Company’s current trading partners. Based on currently available information, the Company’s imports from Mexico to the U.S. remain exempt under USMCA.

The Company’s outlook assumes a 12.5 percent reciprocal tariff rate in the fourth quarter based on currently available information. On an adjusted basis, the Company has excluded the impact of the 2025-related IEEPA tariffs and associated refunds in its 2026 outlook.

The Company continues to evaluate the potential impact of the reciprocal trade framework between the United States and Bangladesh. The Company utilizes U.S. grown cotton in more than 80 percent of products sourced from Bangladesh which may qualify for a duty exemption under the trade framework.

Updated Full Year 2026 Outlook from Continuing Operations

“We are updating our full year outlook to reflect our year-to-date results, the successful completion and final terms of the divestiture of Lee, as well as stronger gross margin expansion and earnings growth,” said Joe Alkire, President and Chief Financial Officer. “While the operating environment remains dynamic, we are well positioned to accelerate value creation supported by sharper portfolio focus, increased capital allocation optionality and stronger earnings growth. We expect to deliver another year of strong results in 2027 and have visibility to adjusted EPS of at least $6.60, reflecting more than 20 percent growth, and more than $325 million of cash flow from operations. Beyond 2027, we expect our cash flow from operations to exceed $400 million.”

The Company’s updated outlook reflects the final terms of the divestiture of Lee which has resulted in changes to the classification of certain income, expense and cash flow items relative to the prior outlook as detailed below.

Prior 2026 Outlook

Updated 2026 Outlook

Revenue

$2.66 to $2.71 billion

~$2.68 billion

Adjusted EPS

$5.25 to $5.35

$5.40

The Company’s full year 2026 outlook also includes the following assumptions:

  • Revenue is expected to approximate $2.68 billion, representing growth of approximately 12 percent compared to prior year, including the impact of the 53rd week in 2025. In 2025, the 53rd week benefited fourth quarter Wrangler revenue by $40 million and Helly Hansen revenue by $3 million.
  • Adjusted gross margin is now expected to be in the range of 50.0 to 50.2 percent, representing an increase of 350 to 370 basis points compared to prior year. The updated outlook primarily reflects stronger-than-expected year-to-date results, partially offset by increased freight expenses, the foreign currency transaction impact of the strengthening of the U.S. dollar, and incremental overhead and other expenses previously allocated to Lee.
  • Adjusted SG&A expenses are now expected to increase approximately 25 percent compared to prior year, driven by incremental overhead and other expenses previously allocated to Lee, the impact of a full year of Helly Hansen expenses, and the previously announced brand-building and growth-enabling investments.
  • Adjusted operating income is now expected to approximate $400 million, representing an increase of approximately 12 percent compared to prior year and includes the impact of $15 million of incremental overhead and other expenses previously allocated to Lee as compared to the prior outlook, as well as higher freight and foreign currency-related expenses. Incremental expenses previously allocated to Lee will be predominantly offset by fees expected to be received for services the Company will provide in support of the transition of the Lee business, which will be classified as other income.
  • Adjusted EPS is now expected to be $5.40, reflecting growth of 31 percent. This compares to the prior outlook of $5.25 to $5.35.
  • Capital expenditures are now expected to be approximately $25 million.
  • The Company now expects an effective tax rate of approximately 18.5 percent on adjusted pre-tax earnings, reflecting additional tax synergies from the Helly Hansen integration.

  • Interest expense is now expected to be approximately $57 million.
  • Other income is now expected to be approximately $4 million. Other income now reflects fees expected to be received for services the Company will provide in support of the transition of the Lee business.
  • Average shares outstanding are now expected to be approximately 54.8 million. The outlook for average shares outstanding now includes the anticipated impact of $450 million of share repurchases in the fourth quarter.
  • The Company now expects total cash from operations to approximate $325 million. The updated outlook now reflects lower year-to-date operating results from Lee, the loss of Lee operating cash flow for the remainder of the year and higher one-time costs to separate the business. The lower-than-expected cash flow contribution from Lee is offset by higher-than-expected net cash proceeds as a result of final net working capital and other closing adjustments. The Company’s updated outlook also includes additional inventory investments in Wrangler and Helly Hansen to support future growth and service levels as a result of current supply chain volatility.

  • The Company now expects to make voluntary term loan payments of $280 million in the fourth quarter and achieve a net leverage ratio below 1.5 times by year-end.

Initial 2027 Outlook from Continuing Operations

The Company continues to expect the divestiture of Lee to be immaterial to earnings per share over a 12-to-18-month period. The earnings contribution of the Lee business is anticipated to be offset through capital deployment of the net proceeds from the divestiture, and mitigation of overhead and other expenses previously allocated to Lee, through fees received for services the Company will provide in support of the transition of the Lee business, restructuring and other mitigating cost actions.

The Company’s initial 2027 outlook includes the following assumptions:

  • Adjusted EPS of at least $6.60, representing growth of more than 20 percent.
  • Cash from operations of at least $325 million.

The Company’s initial 2027 cash from operations outlook includes elevated one-time costs to support the Helly Hansen systems migration and anticipated restructuring and other costs required to fully offset the expenses previously allocated to the Lee business.

(b) We report a “Loss related to other revenues” category to reconcile “total reportable segment profit” to “income from continuing operations before income taxes”, but the Other category does not meet the criteria to be considered a reportable segment. Other includes sales and licensing of the Musto® and Chic® brands, as well as other company-owned brands and private label apparel, and the associated costs.

Constant Currency Financial Information

The Company is a global company that reports financial information in U.S. dollars in accordance with GAAP. Foreign currency exchange rate fluctuations affect the amounts reported by the Company from translating its foreign revenues and expenses into U.S. dollars. These rate fluctuations can have a significant effect on reported operating results. As a supplement to our reported operating results, we present constant currency financial information, which is a non-GAAP financial measure that excludes the impact of translating foreign currencies into U.S. dollars. We use constant currency information to provide a framework to assess how our business performed excluding the effects of changes in the rates used to calculate foreign currency translation. Management believes this information is useful to investors to facilitate comparison of operating results and better identify trends in our businesses.

To calculate foreign currency translation on a constant currency basis, operating results for the current year period for entities reporting in currencies other than the U.S. dollar are translated into U.S. dollars at the average exchange rates in effect during the comparable period of the prior year (rather than the actual exchange rates in effect during the current year period).

These constant currency performance measures should be viewed in addition to, and not as an alternative for, reported results under GAAP. The constant currency information presented may not be comparable to similarly titled measures reported by other companies.

Notes to Supplemental Financial Information – Reconciliation of Adjusted Financial Measures

Management uses non-GAAP financial measures internally in its budgeting and review process and, in some cases, as a factor in determining compensation. In addition, adjusted EBITDA is a key financial measure for the Company’s shareholders and financial leaders, as the Company’s debt financing agreements require the measurement of adjusted EBITDA, along with other measures, in connection with the Company’s compliance with debt covenants. While management believes that these non-GAAP measures are useful in evaluating the business, this information should be considered supplemental in nature and should be viewed in addition to, and not as an alternate for, reported results under GAAP. In addition, these non-GAAP measures may be different from similarly titled measures used by other companies.
