Delixy Holdings Limited Announces Pricing of Initial Public Offering

Singapore, July 08, 2025 (GLOBE NEWSWIRE) — Delixy Holdings Limited (the “Company” or “Delixy”), a Singapore-based company engaged in the trading of oil related products, today announced the pricing of its initial public offering (the “Offering”) of 2,000,000 ordinary shares, par value US$0.000005 per share, (“Ordinary Shares”), 1,350,000 of which are being offered by the Company and 650,000 by the selling shareholders Mega Origin Holdings Limited (as to 325,000 Ordinary Shares) and Novel Majestic Limited (as to 325,000 Ordinary Shares) (the “Selling Shareholders”), at a public offering price of US$4.00 per Ordinary Share. The Company is also registering a resale prospectus concurrent with the Offering for the resale of 3,000,000 Ordinary Shares held by Cosmic Magnet Limited, Rosywood Holdings Limited, Dragon Circle Limited and Novel Majestic Limited, Golden Legend Ventures Limited (the “Resale Shareholders”). The Ordinary Shares have been approved for listing on the Nasdaq Capital Market and are expected to commence trading on July 9, 2025 under the ticker symbol “DLXY.”

The Company expects to receive aggregate gross proceeds of US$5.4 million from the Offering, before deducting underwriting discounts and other related expenses. The Company will not receive any proceeds from the sale of Ordinary Shares offered by the Selling Shareholders or Resale Shareholders in the Offering. The Offering is expected to close on or about July 10, 2025, subject to the satisfaction of customary closing conditions.

Proceeds from the Offering will be used for: (i) expanding product offerings; (ii) strengthening market position; (iii) potentially making strategic acquisitions and business cooperations, including joint ventures and/or strategic alliances and (iv) general working capital and corporate purposes.

(the “Company”, “Birks Group” or “we”) (NYSE American LLC: BGI) is pleased to announce that, further to its June 9, 2025 announcement, it has completed the acquisition (the “Acquisition”) of the luxury watch and jewellery business of European Boutique (“European”) from its founders, the Sutkiewicz family, for a purchase price of $9,000,000, subject to customary adjustments.

Headquartered in Toronto, European operates stores at the Yorkdale, Square One, Toronto Eaton Center and Sherway Garden malls, consisting of four European Boutique multi-brand luxury watch and jewellery stores, three mono-brand boutiques for luxury brands OMEGA, Breitling, and Montblanc, as well as integrated storefronts for luxury brands such as TAG Heuer, GUCCI, and Diamonds Direct. In addition to its brick-and-mortar stores, European operates a national e-commerce website at European.ca which offers a wide selection of watches and jewellery across Canada. As a part of the Acquisition, Birks Group has also entered into a licensing agreement to operate the Canadian brand Diamonds Direct® (DiamondsDirect.ca).

The Incremental Loan bears interest at the same rate as our current $12.5 million term loan with SLR which is CORRA plus (i) a CORRA adjustment of 0.32% and (ii) 7.75%, and it will be repayable, in full, on December 24, 2026. A portion of the proceeds from the Incremental Loan were used by the Company to fund the purchase price for the Acquisition and the balance of the proceeds will be used to fund ordinary course working capital. The Company also entered into a loan agreement for $3.75 million of additional indebtedness (the “Loan Agreement”) with Mangrove Holding S.A., one of the Company’s controlling shareholders. The Loan Agreement bears annual interest at 15% and it will be repayable, in full, on December 24, 2026. The proceeds from the Loan Agreement will be used to fund ordinary course working capital.

California American Water Announces $25,000 Grant to support City of San Marino Fire Department

Funding provided by the American Water Charitable Foundation through its State Strategic Impact Grant Program

LOS ANGELES–(BUSINESS WIRE)–
California American Water, in collaboration with the American Water Charitable Foundation, a philanthropic non-profit organization established by American Water (NYSE: AWK), announced today that the Foundation awarded a $25,000 State Strategic Impact Grant to the City of San Marino Fire Department, with the assistance of the Los Angeles Fire Department Foundation. Funding will help purchase the City of San Marino’s first fully electric full-sized emergency management vehicle.

“We are very grateful to have California American Water and the American Water Charitable Foundation supporting the city’s emergency preparedness and response. As a first of its kind for the City of San Marino, this electric vehicle will also serve as a proof of concept for the transition of additional public safety fleet vehicles to electrification,’ said Philippe Eskandar, City Manager. “As a member of the Verdugo Fire System and the Los Angeles County’s Disaster Management Area C, the City of San Marino will be able to assist the other 13 member cities in various capacities with this vehicle and support the 9 other nearby cities to promote the coordination of disaster management, planning and preparedness efforts which this vehicle would play a direct role in, respectively.”

The new electric vehicle will be assigned to the city’s Director of Emergency Services who is one of only 16 Type 2 Credentialed Emergency Operations Center Directors in the State of California. The procurement of the vehicle will better position the City of San Marino to support the local community and the state in a wide variety of public safety and emergency needs as this credential allows the Director to provide emergency management mutual aid to agencies throughout California.

The State Strategic Impact Grant is part of the Foundation’s Keep Communities Flowing Grant Program, focusing on three pillars of giving: Water, People and Communities. These grants support high-impact projects and initiatives throughout American Water’s regulated footprint.

The Company has submitted an application for quotation, which is currently under review. An update and confirmation of the trading commencement date will be provided upon approval.
