AMSTERDAM, March 22, 2023 – Stellantis and Crédit Agricole Consumer Finance today announce that they have signed a binding agreement for the acquisition of ALD and LeasePlan’s activities in Portugal and Luxembourg, respectively, following ALD’s proposed acquisition of 100% of LeasePlan announced in January 2022. This announcement constitutes an immediate acceleration of the two companies’ ambitions in mobility and vehicle long-term leasing.

This announcement follows the partnership agreements between Stellantis and Crédit Agricole Consumer Finance announced in December 2021 regarding the creation of a common NewCo, a European leader in long-term vehicle leasing, and the takeover by Crédit Agricole Consumer Finance of 100% of FCA Bank’s capital.

“The acquisition of the entities in Portugal and Luxembourg is an excellent opportunity to strengthen the NewCo right from the start and an extra lever to increase its fleet to one million vehicles by 2026 as part of our aggressive Dare Forward 2030 strategy,” said Philippe de Rovira, Stellantis Chief Affiliates Officer. “Together, Leasys and Free2move Lease currently represent a fleet of approximately 828,000 vehicles.”

Stellantis and Crédit Agricole Consumer Finance also announce the signing of an agreement relating to the sale of ALD’s activities in Ireland, Norway and Portugal, as well as LeasePlan’s activities in the Czech Republic, Finland and Luxembourg. These disposals would take place according to the commitments made by ALD to the European Commission in connection with the proposed acquisition of LeasePlan by ALD.

The acquisition would be carried out by FCA Bank, then followed by a division of the acquired scope between:

  • the NewCo resulting from the consolidation of Leasys and Free2move Lease and owned equally by Crédit Agricole Consumer Finance and Stellantis, which would host the activities of ALD in Portugal and LeasePlan in Luxembourg for a total approximately 30,000 vehicles; and,
  • the entity formed by the takeover by Crédit Agricole Consumer Finance of 100% of the capital of FCA Bank and Drivalia, which would host the activities of ALD in Ireland and Norway and of LeasePlan in the Czech Republic and in Finland.

With respect to the division of the acquired scope, the two entities will effectively act in a consistent and integrated approach, especially with respect to international customers, for which an enhanced cooperation between the two entities is foreseen.

This transaction would consolidate the partnership between Stellantis and Crédit Agricole Consumer Finance and accelerate the development of the two companies in strategic European countries, in line with the ambitions of the two companies to be ranked among the European leaders in automotive financing.

The completion of the transaction, expected in the course of 2023 well after the closing of the creation of the NewCo, is subject to the customary conditions precedent in this area, namely the completion of the acquisition of LeasePlan by ALD and the approval of the competent authorities.

FDA Schedules Pre-License Inspection of Remestemcel-L Manufacturing

Biologics License Application (BLA) Resubmission for Pediatric Acute Graft-Versus-Host Disease (SR-aGVHD) Currently Being Reviewed

If Approved, Remestemcel-L will be the First Allogeneic “Off-the-Shelf” Cellular Medicine in the US, and the First Therapy for Children Under 12 Years Old with SR-aGVHD

NEW YORK, March 21, 2023 (GLOBE NEWSWIRE) — Mesoblast Limited (ASX:MSB; Nasdaq:MESO), global leader in allogeneic cellular medicines for inflammatory diseases, today announced that, as part of the ongoing review of the BLA for remestemcel-L in the treatment of children with SR-aGVHD, the United States Food and Drug Administration (FDA) has scheduled a Pre-License Inspection (PLI) of Mesoblast’s cell therapy manufacturing operations at Lonza Bioscience in Singapore.

On March 7, 2023, the FDA accepted the Company’s resubmission of the BLA for remestemcel-L and set a Prescription Drug User Fee Act (PDUFA) goal date of August 2, 2023.

Remestemcel-L has FDA Fast Track designation, a process to facilitate the development and expedited review of therapies for serious conditions that fill unmet medical needs, and Priority Review designation, which is given to drugs that treat a serious condition and provide a significant improvement in safety or effectiveness over existing treatments. Survival outcomes have not improved over the past two decades for children or adults with the most severe forms of SR-aGVHD.1-3 The lack of any approved treatments for children under 12 means that there is an urgent need for a therapy that improves the dismal survival outcomes in children.

About Steroid-Refractory Acute Graft Versus Host Disease

Acute GVHD occurs in approximately 50% of patients who receive an allogeneic bone marrow transplant (BMT). Over 30,000 patients worldwide undergo an allogeneic BMT annually, primarily during treatment for blood cancers, including about 20% in pediatric patients.4,5 SR-aGVHD is associated with mortality as high as 90% and significant extended hospital stay costs.6,7 There are currently no FDA-approved treatments in the US for children under 12 with SR-aGVHD.

About Remestemcel-L

Mesoblast’s lead product candidate, Remestemcel-L, is an investigational therapy comprising culture expanded mesenchymal stromal cells derived from the bone marrow of an unrelated donor. It is administered to patients in a series of intravenous infusions. Remestemcel-L is believed to have immunomodulatory properties to counteract the inflammatory processes that are implicated in SR-aGVHD by down-regulating the production of pro-inflammatory cytokines, increasing production of anti-inflammatory cytokines, and enabling recruitment of naturally occurring anti-inflammatory cells to involved tissues.

The original BLA submission contained clinical outcomes of 309 children with SR-aGVHD treated with remestemcel-L showing consistent treatment responses and survival across three separate trials. The data were reviewed by the agency’s panel of the Oncologic Drugs Advisory Committee (ODAC) which voted in favor 9:1 that the available data support the efficacy of remestemcel-L in pediatric patients with SR-aGVHD.

The BLA resubmission now contains additional clinical and biomarker data, including from a propensity-matched study of children with high-risk disease, based on the validated MAP biomarker score, comparing outcomes in 25 children from Mesoblast’s Phase 3 trial and 27 control children treated with various biologics, including ruxolitinib, from the Mount Sinai Acute GvHD International Consortium (MAGIC) database. The study showed that 67% of high-risk children treated with remestemcel responded positively to treatment within 28 days and were alive after 180 days compared to just 10% in both categories in the MAGIC group.

The BLA resubmission also contains results of a 4-year survival study performed by the Center for International Blood and Marrow Transplant Research (CIBMTR) on 51 evaluable patients with SR-aGVHD who were enrolled in the Phase 3 trial. The results demonstrated durability of the early day 180 survival benefits, with 63% survival at 1 year and 51% at 2 years in a group of children with predominantly grade C/D disease (89%) and with expected 2-year survival of just 25-38% using best available therapy.1,8-9

Karuna Therapeutics, Inc. (NASDAQ: KRTX), a clinical-stage biopharmaceutical company driven to create and deliver transformative medicines for people living with psychiatric and neurological conditions, today announced the pricing of an underwritten public offering of 2,479,391 shares of its common stock at a public offering price of $161.33 per share. The gross proceeds to Karuna from the offering, before deducting the underwriting discounts and commissions and other estimated offering expenses, are expected to be approximately $400.0 million. Mr. Kaiden was most recently with Twitter, where he served as Chief Accounting Officer from June 2015 to November 2022, helping lead a period of scaling, business model transformation, and international expansion. From 1989 to May 2015, Mr. Kaiden served in several roles at Deloitte & Touche LLP, a national auditing firm, including as Audit Partner from 2000 to May 2015. In addition to managing audit accounts with large public companies at Deloitte, he also held significant operational roles and served as Chief of Staff to the CEO of Audit. Mr. Kaiden has served as a member of the board of directors of travel lifestyle brand Away since January 2022.

In this role, Dr. Jarquin will work to advance Amlan’s development strategies and present mineral-based solutions for customers in Mexico, Central America, South America and the Caribbean. Dr. Jarquin will also be responsible for recruiting and hiring new industry partnerships and talent to expand operations in the LATAM market.
