On October 23, 2025, the Company announced its Q4 and YE August 30, 2025 financial results, disclosing that its OWYN (Only What You Need, Inc.) segment, acquired in 2024 for $280 million, had suffered a slowdown in sales growth due to a previously undisclosed product quality issue, specifically, that “a raw material sourcing decision for pea protein,” which predated the close of the OWYN acquisition but was implemented shortly thereafter, had “resulted in taste and texture issues” as the products aged, leading to negative product ratings and reviews and depressed sales for OWYN. According to the complaint, Defendants Pentwater and Halbower engaged in a scheme to manipulate the market for Avis securities. CASE DETAILS: According to the Complaint, Aevex and certain of its executives are charged with concealing a pre-arranged plan between Madison, which owned 100% of AEVEX’s common stock, and the Underwriter Defendants to prematurely override the commitment requiring a 180-day lock-up after the IPO to prevent Madison from selling its shares.

Specifically, the lawsuit alleges that AEVEX represented that a 180-day “lock-up” would prevent Madison from selling its Class A common stock, or from converting or exchanging its Class B shares or LLC Units into Class A common stock for public sale, until at least October 13, 2026. In truth, the Company allegedly concealed a pre-arranged plan between Madison and the Underwriter Defendants to abrogate that commitment early and clear the way for an SPO shortly after the IPO — one through which Madison would reap over $200 million and the Underwriter Defendants would share in a further $8-plus million in fees.

The case is Rosenberg v. Aevex Corp., No. 26-cv-04779.

About the Lawsuit

HDFC and certain of its executives are charged with failing to disclose material information during the Class Period, violating federal securities laws.

On May 27, 2026, pre-market, The Indian Express reported that HDFC Bank had disguised crores of rupees as marketing expenditures in order to pay above-market interest rates to a state-owned enterprise. According to the article, the Company secretly funneled roughly Rs 45 crore (about $4.7 million) to the Maharashtra State Road Development Corporation (“MSRDC”) to encourage MSRDC to place substantial deposits with the bank. HDFC Bank offered MSRDC a 6.01% interest rate — 2.51 percentage points above what it paid other depositors — and covered that premium by characterizing the payments as sponsorship of an MSRDC road safety awareness initiative. The article further reported that an internal investigation conducted in March and April 2026 found more than ten senior officials responsible for the scheme, including CEO Sashidhar Jagdishan.

On this news, the price of HDFC shares fell $1.02, or 4.1%, to close at $23.78 per share on May 27, 2026, on unusually heavy trading volume.

Innventure, Inc. (INV) Securities Class Action:

The litigation is focused on the propriety of Innventure’s statements about Accelsius’ arrangement with DarkNX, a purported global digital infrastructure company, under which DarkNX would deploy Accelsius’ NeuCool technology across a new 300MW AI data center campus in Ontario, Canada.

More specifically, the company has characterized the project as “the largest two-phase, direct-to-chip deployment to date, signaling a major shift toward large-scale industry adoption of next-generation cooling.” In addition, during the Class Period, Innventure assured investors that the DarkNX project is “proceeding as expected with initial deliveries expected in 2026.”

The company’s narrative began to come into question on May 28, 2026. That day, forensic research firm Morpheus Research published “Innventure: The Latest Iteration Of A Decades-Long Grift Propped Up By A Fake 300MW Data Center Deal.” According to the Morpheus report, there was “zero evidence this project exists or that DarkNX has the team or funding to even contemplate such a project.”

The report said “[a]ccording to a former Innventure executive, management was using ‘false information’ and revenue projections that were ‘pure fiction’ to solicit investments into Accelsius.” Quoting a former Accelsius employee, when asked about DarkNX, the former employee reportedly said “‘we’ve never heard of the company’” and “‘there’s no data center.’”

On August 13, 2026, Innventure’s narrative fully unraveled, when the company revealed “that the deployment site identified in the DarkNX purchase order is no longer available.” Accordingly, the company removed the DarkNX project from its internal bookings and suspended its 2026 revenue and cash flow expectations.

As a result of these revelations, between May 27, 2026 (the day before Morpheus’ report) and August 14, 2026, the price of Innventure shares crumbled $4.795, or a whopping 74%.
