ORIC Pharmaceuticals Reports Inducement Grants under Nasdaq Listing Rule 5635(c)(4)

SOUTH SAN FRANCISCO, Calif. and SAN DIEGO, Feb. 06, 2026 (GLOBE NEWSWIRE) — ORIC Pharmaceuticals, Inc. (Nasdaq:ORIC), a clinical stage oncology company focused on developing treatments that address mechanisms of therapeutic resistance, today announced that on February 2, 2026 (the “Grant Date”), ORIC granted a total of 173,800 non-qualified stock options and 28,700 restricted stock units to three new non-executive employees who began their employment with ORIC in January 2026.

These inducement grants were granted pursuant to the ORIC Pharmaceuticals, Inc. 2022 Inducement Equity Incentive Plan, subject to recipient’s continued employment or service through each applicable vesting date. The stock options have an exercise price equal to the closing price of ORIC’s common stock on the Grant Date. Twenty-five percent (25%) of the shares subject to the stock options will vest on the one (1) year anniversary of the Grant Date, with one thirty-sixth (1/36th) of the remaining shares vesting each one-month period thereafter. One-third (1/3rd) of the restricted stock units will vest on each of the first three anniversaries of the Grant Date. The inducement grants are subject to the terms and conditions of the applicable stock option and restricted stock unit agreements and the ORIC Pharmaceuticals, Inc. 2022 Inducement Equity Incentive Plan.

The inducement grants were approved by ORIC’s Compensation Committee of the Board of Directors, as required by Nasdaq Rule 5635(c)(4), and were granted as a material inducement to employment in accordance with Nasdaq Rule 5635(c)(4).

(NYSE: AIG) today announced that it has completed the acquisitions of strategic minority ownership stakes in Convex Group Limited (“Convex”), a privately held, global specialty insurer, and Onex Corporation (“Onex”) (TSE: ONEX), a publicly traded global asset manager.

Pursuant to these transactions, AIG has acquired an approximately 35% equity interest in Convex for approximately $2.1 billion, and a 9.9% ownership stake in Onex for approximately $642 million. In conjunction with AIG’s investment in Convex, Onex has become the majority shareholder in Convex with a 63% ownership interest.

Initial Determination Decision Protects Validity of Shoals Intellectual Property

PORTLAND, Tenn., Feb. 06, 2026 (GLOBE NEWSWIRE) — Shoals Technologies Group, Inc. (“Shoals”) (Nasdaq: SHLS), a global leader in electrical infrastructure solutions for the energy transition market, announced today that the U.S. International Trade Commission (“ITC”) has issued a favorable initial determination in Shoals’ patent infringement complaint against Voltage, LLC (“Voltage”) and its related foreign entity. On February 6, 2026, an Administrative Law Judge (ALJ) at the ITC issued an initial finding that Voltage violated Section 337 of the Tariff Act of 1930 by importing LYNX trunk bus products into the United States.

Shoals’ patented Big Lead Assembly (“BLA”) solution, invented, engineered, and manufactured in the United States, transformed the deployment of mission-critical utility scale solar projects by minimizing material, accelerating installation, reducing labor costs and ensuring long-term reliability for asset owners. The ITC’s initial determination confirms that Voltage infringed certain Shoals’ intellectual property covering its patented BLA solutions. It affirms the strength of U.S. intellectual property protections and safeguards domestic innovations, ensuring that American companies, not foreign imitators, define the future of energy infrastructure.

At the same time, the appeal of an earlier ITC decision relating to another of Shoals’ patents remains ongoing with the U.S. Court of Appeals, and Shoals will continue to vigorously pursue that case to ensure its intellectual property is fully protected.

Hennessy Capital Investment Corp. VIII Announces Closing of Upsized $241,500,000 Initial Public Offering

New York, NY, Feb. 06, 2026 (GLOBE NEWSWIRE) — Hennessy Capital Investment Corp. VIII (NASDAQ: HCICU) (the “Company”), a special purpose acquisition company, announced today the closing of its upsized initial public offering (“IPO”) of 24,150,000 units, which included 3,150,000 units sold pursuant to the full exercise of the underwriters’ over-allotment option. The IPO was priced at $10.00 per unit, resulting in gross proceeds of $241,500,000. The units are listed on The Nasdaq Global Market (“Nasdaq”) and commenced trading under the ticker symbol “HCICU” on Thursday, February 5, 2026. Each unit consists of one Class A ordinary share and one right to receive one-twelfth (1/12) of one Class A ordinary share upon the consummation of the Company’s initial business combination (“Share Right”). HOUSTON–(BUSINESS WIRE)–Verde Clean Fuels, Inc. (NASDAQ: VGAS) (“Verde” or the “Company”) announced today the suspension of development of its Permian Basin project primarily as a result of changing market conditions driven by increasing demand for natural gas in the Permian Basin.

In February 2024, the Company and Cottonmouth Ventures, LLC (“Cottonmouth”), a wholly-owned subsidiary of Diamondback Energy, Inc. (NASDAQ: FANG) (“Diamondback”) entered into a joint development agreement (“JDA”) to develop a natural gas-to-gasoline plant in the Permian Basin utilizing Verde’s STG+® technology and associated natural gas from Diamondback’s operations (the “Permian Basin Project”). Following announcement of the JDA, the Company began development work on the Permian Basin Project, which included a front-end engineering and design (“FEED”) study that was completed in December 2025.
