Johnson & Johnson (NYSE: JNJ) (the “Company”), healthcare’s leading, most comprehensive innovation powerhouse, today announced a voluntary agreement with the Trump Administration to improve access to medicines and lower costs for millions of American patients. The joint agreement meets the requests laid out by President Trump to the industry and provides the Company’s pharmaceutical products an exemption from tariffs1.

Improving Access and Lowering Costs for U.S. Patients

Johnson & Johnson is working with the Trump Administration to improve access to medicines and lower costs for millions of American patients. The Company is:

  • Participating in TrumpRx.gov, a direct to patient platform, which will allow millions of American patients to purchase medicines from Johnson & Johnson at significantly discounted rates.

  • Enabling American patients to access medicines at comparable prices to other developed countries.

  • Providing Medicaid program access at comparable prices to other developed countries.

  • Continuing to support the Administration’s efforts to ensure better recognition of the value of health care across developed markets globally.

Delivering On Our $55B U.S. Investment

Johnson & Johnson also continues to deliver on our previously announced $55 billion investment to support U.S. manufacturing, research and development, and technology investments by early 2029. In just the last 10 months, the Company has initiated billions of dollars in investment in U.S. manufacturing, which will support the Company’s goal of manufacturing the vast majority of its advanced medicines in the U.S. to meet the needs of U.S. patients.

Today, as part of the $55 billion investment, the Company is announcing two new U.S. manufacturing facilities, including a next generation cell therapy manufacturing site in Pennsylvania and a state-of-the-art drug product manufacturing facility in North Carolina.

Additionally, construction is progressing on our $2 billion state-of-the-art biologics manufacturing facility in Wilson, North Carolina, which the Company broke ground on last year. That project will create approximately 5,000 skilled manufacturing and construction jobs in the state. Johnson & Johnson is already ramping up the hiring of advanced manufacturing employees to work at the facility.

In September, the Company also secured a new 160,000+ square foot dedicated biopharmaceutical manufacturing site in Holly Springs, North Carolina. The $2 billion commitment over the next 10 years will create approximately 120 new jobs in North Carolina.

Appian Intellectual Property Suit Headed to Retrial Following Virginia Supreme Court Decision

The Supreme Court of Virginia rejected Pega’s attempt to dismiss the case entirely

MCLEAN, Va., Jan. 8, 2026 /PRNewswire/ — Appian announced today that it would press its trade secret claims against Pegasystems Inc. (“Pega”), following the decision from the Supreme Court of Virginia remanding the case for retrial and rejecting Pega’s arguments seeking to dismiss the case entirely.  Pega previously was found to have violated the Virginia Computer Crimes Act, a decision it did not appeal.

“None of the issues addressed by the Supreme Court of Virginia go to the principal facts regarding Pega’s misappropriation of Appian trade secrets.  We will present that evidence to a new jury and remain confident our claims will be properly addressed by Virginia courts,” stated Jaye Campbell, General Counsel of Appian.

The Supreme Court of Virginia’s opinion described how Pega hired a “spy” to obtain Appian information, went to great lengths to conceal his identity, used Appian’s information for its benefit, and subsequently engaged in efforts to get access to Appian software through employees’ use of aliases and non-Pega credentials.  Appian presented evidence from dozens of witnesses and thousands of pages of documents demonstrating Pega’s use of its “spy” to analyze the inner workings of Appian’s software, improve its own product, and train its sales team.

All aspects of the decision could be subject to further appeal by Appian or Pega.  Appian cannot predict the outcome of any appeals or further proceedings, or the time it will take to resolve them.

Soren Acquisition Corp. Announces Closing of $253 Million Initial Public Offering

Miami, FL, Jan. 08, 2026 (GLOBE NEWSWIRE) — Soren Acquisition Corp. (the “Company”) announced today the closing of its initial public offering of 25,300,000 units, which includes 3,300,000 units issued pursuant to the full exercise by the underwriters of their over-allotment option. The offering was priced at $10.00 per unit, resulting in gross proceeds of $253,000,000.

The Company’s units began trading on January 7, 2026 on the Nasdaq Global Market (“Nasdaq”) under the ticker symbol “SORNU.” Each unit consists of one Class A ordinary share of the Company and one-third of one redeemable warrant, with each whole warrant entitling the holder thereof to purchase one Class A ordinary share of the Company at an exercise price of $11.50 per share. No fractional warrants will be issued upon separation of the units and only whole warrants will trade. Once the securities comprising the units begin separate trading, the Class A ordinary shares and warrants are expected to be listed on Nasdaq under the symbols “SORN” and “SORNW,” respectively.

GreenPower Announces US$10 Million Financing and US$2.95 Million in Standby Letter of Credit Facilities

VANCOUVER, BC, Jan. 8, 2026 /PRNewswire/ — GreenPower Motor Company Inc. (Nasdaq: GP) (“GreenPower” or the “Company”), a leading manufacturer and distributor of all-electric, purpose-built, zero-emission medium and heavy-duty vehicles serving the cargo and delivery market, shuttle and transit space and school bus sector, today announced that it has received credit approval from CIBC for $5 million in financing facilities, comprised of a $3 million revolving line of credit and a $2 million term loan with a three year term. Additionally, the Company has received credit approval from CIBC to enter into a letter of credit of $450,000, secured by cash collateral, and a letter of credit facility of up to $2.5 million, which is subject to approval from another financial institution. GreenPower’s transaction with CIBC is subject to finalizing documentation, as well as satisfaction of all closing conditions, and all parties are actively working towards a timely completion. In addition, GreenPower has announced that it has closed $5 million in term loans from two family offices, which have provided personal joint and several guarantees in support of these credit facilities. A portion of the net proceeds from the financings will be used to repay and close the Company’s existing operating line of credit, with the remainder used for general corporate purposes. These transactions represent an important step in the recapitalization of the Company and will allow GreenPower to accelerate production of all-electric vehicles to fulfil existing customer orders.

The Company has agreed to issue 3,205,128 non-transferable share purchase warrants (each, a “Loan Bonus Warrant”) to one of the family offices. Each Loan Bonus Warrant entitles the holder to purchase one common share of the Company (each, a “Share”) at an exercise price of US$0.78 per Share for a period of thirty-six (36) months from the closing date of the Loan. In addition, the Company has agreed to issue to one of the family offices an aggregate of 641,025 Shares (each a “Loan Bonus Share”). The family offices are each considered to be a “related party” within the meaning of Multilateral Instrument 61-101 Protection of Minority Security Holders in Special Transactions (“MI 61-101”) and each of the loans with the family offices and issuance of Loan Bonus Warrants and Loan Bonus Shares, as applicable, is considered to be a “related party transaction” within the meaning of MI 61-101 but each is exempt from the formal valuation requirement and minority approval requirements of MI 61-101 by virtue of the exemptions contained in Sections 5.5(g) and 5.7(e) of MI 61-101.
