Aeromexico requests termination of ASPA and ASSA Collective Bargaining Agreements to labor authorities

PR Newswire

MEXICO CITY, Jan. 11, 2021 /PRNewswire/ –Grupo Aeroméxico, S.A.B. de C.V. (“Aeromexico” or the “Company”) (BMV: AEROMEX) announces that, as a follow up to its previous relevant events dated December 29 and 31, 2020 and January 8, 2021, it has not yet been possible to satisfactorily conclude the negotiations of the Collective Bargaining Agreements (“CBAs”) with the Asociación Sindical de Pilotos Aviadores de México (“ASPA”) and the Asociación Sindical de Sobrecargos de Aviación de México (“ASSA”).

The acceptance, by said unions, of the adjustments presented by the Company to the CBA is essential to: (i) face the adverse financial, operational and structural effects caused globally to the airline industry by the COVID-19 pandemic, (ii) comply with the commitments and objectives required by the DIP lenders under the Senior Debtor in Possession Credit Facility (“DIP Financing”), obtained within the Company’s voluntary financial restructuring process, under Chapter 11 of the Bankruptcy Code of the United States of America, and (iii) comply with the necessary conditions to have access to the next disbursement under Tranche 2 of the DIP Financing, resources that are essential not only to preserve the ordinary course of business but to avoid generalized defaults on Aeromexico’s obligations with financial creditors under the DIP Financing.

Aeromexico was able to obtain an extension to the term provided in the corresponding Credit Agreement, in order to comply with the DIP Financing conditions and obligations. The new term expires on January 27, 2021. However, the serious situation of the pandemic and the consequent continuation of the restrictions derived from the declaration of force majeure issued by government authorities, in Mexico and abroad, continue to reduce the demand for flights and undermine the Company’s finances.

Aeromexico requires ongoing access in a fast and timely manner to the DIP Financing funds to meet its payments and commitments in the ordinary course of business with key suppliers, authorities, and contributors. Consequently, the Company has decided to request termination, due to the fact of force majeure that undoubtedly affects the Company, the current CBA with the ASPA and ASSA unions, which has been duly submitted, on this date, to the competent labor authorities in full compliance with the applicable provisions of the Federal Labor Law (Ley Federal de Trabajo).

Based on the force majeure situation in which Aeromexico is, it has requested termination of the collective bargaining relationship, as well as the individual agreements with a certain number of pilots and flight attendants in order to reflect the new operating reality of the Company. This situation of force majeure has forced Aeromexico to carry out a workforce reduction as a consequence of the decrease in its ordinary activities.

This decision seeks to guarantee the continuity of our operations to continue offering the best possible service to customers, without affecting their rights.

Aeromexico reiterates that it is in the best position to continue conversations with both ASPA and ASSA, within the period indicated above, looking to find schemes that comply with the necessary conditions to continue accessing the available resources. We appreciate all the support received by our contributors and regulatory authorities during our restructuring process.

Aeromexico will continue pursuing, in an orderly manner, the voluntary process of its financial restructuring under the Chapter 11 process, while continuing to operate and offer services to its customers and contracting from its suppliers the goods and services required for operations. Likewise, it will continue using all the available instruments at its disposal to avoid going from the current financial restructuring situation to a liquidation situation, with the consequent loss of the source of employment affecting thousands of direct and indirect jobs.

This press release contains certain forward-looking statements that reflect the current views and/or expectations of the Company and its management with respect to its performance, business and future events. We use words such as “believe,” “anticipate,” “plan,” “expect,”, “intend,” “target,” “estimate,” “project,” “predict,” “forecast,” “guideline,” “should” and other similar expressions to identify forward-looking statements, but they are not the only way we identify such statements. Such statements are subject to a number of risks, uncertainties and assumptions. We caution you that a number of important factors could cause actual results to differ materially from the plans, objectives, expectations, estimates and intentions expressed in this release. The Company is under no obligation and expressly disclaims any intention or obligation to update or revise any forward-looking statements, whether as a result of new information, future events or otherwise.

Restaurant Brands is a Canadian corporation and headquartered in Toronto, Ontario, Canada. It is one of the world’s largest restaurant chains with over 27,000 Tim Hortons, Burger King, and Popeyes restaurants in more than 100 countries and U.S. territories. On April 24, 2018, Restaurant Brands announced a new strategy designed to improve performance within its Tim Hortons brand. Specifically, the “Winning Together Plan” would focus on three key pillars: restaurant experience; product excellence; and brand communications. Then, on March 20, 2019, Restaurant Brands announced “Tims Rewards” – a new loyalty program for Tim Hortons customers in Canada. Under the Tims Rewards program, customers would be eligible for a free hot brewed coffee, hot tea, or baked good after every seventh paid visit to a participating Tim Hortons restaurant. On April 10, 2019, Restaurant Brands announced that it was expanding the Tims Rewards program to include customers in the United States.

The Class Period commences on April 29, 2019, when Restaurant Brands filed its financial results for the first quarter ended March 31, 2019 with the SEC. Among other things, Restaurant Brands reported 0.5% system-wide year-over-year sales growth for Tim Hortons on system-wide sales of $1.547 billion. The complaint alleges that, throughout the Class Period, the defendants repeatedly touted the implementation and execution of Restaurant Brands’ Winning Together Plan and Tims Rewards loyalty program. On the heels of Restaurant Brands touting the benefits of these initiatives, the company completed two stock offerings on or about August 12, 2019, and September 5, 2019, collectively resulting in proceeds of approximately $3 billion to insiders.

However, on October 29, 2019, the truth about Restaurant Brands’ execution of its Winning Together Plan and Tims Rewards loyalty program was revealed when the company announced disappointing financial results for the third quarter ended September 30, 2019. Among other things, Restaurant Brands reported a 0.1% system-wide year-over-year sales decline for Tim Hortons—representing a 1.4% same-store sales decline—on system-wide sales of $1.774 billion. Following this news, the price of Restaurant Brands common stock declined $2.59 per share, or approximately 4%, from a close of $68.45 per share on October 25, 2019, to close at $64.86 per share on October 28, 2019.

The complaint alleges that, throughout the Class Period, the defendants misrepresented and/or failed to disclose that: (1) Restaurant Brands’ Winning Together Plan was failing to generate substantial, sustainable improvement within the Tim Hortons brand; (2) the Tims Rewards loyalty program was not generating sustainable revenue growth as increased customer traffic was not offsetting promotional discounting; and (3) as a result, the defendants’ statements about Restaurant Brands’ business, operations, and prospects lacked a reasonable basis.

If you wish to discuss this securities fraud class action lawsuit or have any questions concerning this notice or your rights or interests with respect to this litigation, please contact Kessler Topaz Meltzer & Check, LLP (James Maro, Jr., Esq. or Adrienne Bell, Esq.) at (844) 887-9500 (toll free) or (610) 667–7706, or via e-mail at [email protected].

Restaurant Brands investors may, no later than February 19, 2021, seek to be appointed as a lead plaintiff representative of the class through Kessler Topaz Meltzer & Check, LLP, or other counsel, or may choose to do nothing and remain an absent class member. A lead plaintiff is a representative party who acts on behalf of all class members in directing the litigation. In order to be appointed as a lead plaintiff, the Court must determine that the class member’s claim is typical of the claims of other class members, and that the class member will adequately represent the class. Your ability to share in any recovery is not affected by the decision of whether or not to serve as a lead plaintiff.

NEC Releases “WISE VISION Endoscopy” in Europe and Japan

NEC Releases “WISE VISION Endoscopy” in Europe and Japan

– Contributing to early detection of colorectal cancer –

TOKYO–(BUSINESS WIRE)–NEC Corporation (NEC; TOKYO: 6701) today announced the development of “WISE VISION Endoscopy,” an AI diagnosis-support medical device software for colonoscopies, which is being released in Japan today and is expected to soon be available in Europe. This software connects with existing endoscopy equipment as part of using AI to automatically mark potential lesions from images taken during endoscopic procedures.

This press release features multimedia. View the full release here: https://www.businesswire.com/news/home/20210111006087/en/

Graphic 1 (Graphic: Business Wire)

Graphic 1 (Graphic: Business Wire)

Colorectal cancer is the most common cancer in Japan (*1), and the second most common in Europe (*2). Colorectal cancer originates from precancerous lesions (colorectal neoplastic polyps) and it is possible to suppress the progression to cancer by detecting and removing lesions at the polyp stage during endoscopy procedures. However, polyps need to be found with the eye of an endoscopist, and are often difficult to detect because of their size and shape, causing approximately 24% (*3) to be missed, thereby delaying detection.

NEC has been working with the National Cancer Center Japan since 2016 to contribute to resolving this issue. NEC has now developed software that can automatically mark potential lesions based on the use of AI to learn from endoscopic images of more than 10,000 lesions, as well as learning from the observations of expert physicians (*4). This software was developed by applying NEC’s AI technologies, “NEC the WISE,” and its face recognition technology, which is highly evaluated by the National Institute of Standards and Technology (*5) in the United States.

Software features include the following:

1. Compatibility with the endoscopy systems of three leading companies and usability in any examination room

This software can be connected to endoscopes from three leading endoscope manufacturers (*6). By simply connecting an existing endoscope to a monitor and terminal equipped with the software, users can start using it immediately. Moreover, since it is compatible with various endoscopes and easy to prepare, systems can be transferred within different rooms and used efficiently wherever there is an examination.

(Shown in Graphic 1)

2. High visibility and flexible interface

The system marks the lesion candidates with a notification sound and marking. Notification sounds, volume, and marker colors can be customized at any time to the user’s preference. The system can be operated intuitively with a high-visibility user interface, allowing users to smoothly proceed with examinations.

Going forward, as a company that creates social value, NEC aims to promote a healthy, and sustainable society, where individuals can thrive from the utilization of advanced IT technologies.

Vonage Partners with Wall Street English to Power Digital Classrooms

Vonage Partners with Wall Street English to Power Digital Classrooms

  • Vonage’s Video API powers Wall Street English’s online educational solutions
  • Digital communications a critical means of providing educational services in response to COVID-19

SINGAPORE–(BUSINESS WIRE)–Vonage (Nasdaq: VG), a global leader in cloud communications helping businesses accelerate their digital transformation, has been chosen by English language education company Wall Street English to power its digital classroom platform for customers worldwide.

With social distancing and safety measures in place around the globe, the education industry had to adjust overnight to a new, virtual, reality. This led Wall Street English to launch its digital classroom platform to give students continued access to their courses and teachers the ability to conduct classes online.

The Vonage Video API, embedded within Wall Street English’s platform, enables students and teachers to have live, engaging and interactive video classes, creating an environment similar to an in-person classroom experience. Students can even interact with their teacher and fellow students like they would in a traditional classroom.

Established in 1972, Wall Street English has an alumni community surpassing three million, with a current enrollment of 175,000 students. Using a franchise model, the company operates over 350 centers in 28 countries across North Africa, East Asia, Southeast Asia, Europe, Latin America, and the Middle East.

“During this difficult time, our priority is the health and safety of our students, staff and the communities in which we operate,” said David Kedwards, CEO of Wall Street English. “We also want to ensure that our students have continued access to their courses and the flexibility to study anytime, across multiple devices.

“The decision to move online in addition to our brick-and-mortar centers is a great step forward for the company, evolving our business to meet the needs of today’s learners. Vonage has played an important role in our digital transformation. The Vonage Video API integrated easily with our platform, enabling us to set up real-time, high-quality video classes to serve thousands of students worldwide.”

A recent Vonage report tracking communications usage before the pandemic and again in August 2020 revealed that 39 percent of the 5,000 global consumers surveyed reported higher engagement with education technology tools. Findings also showed that 42 percent of that same group preferred the use of video when engaging with other students and teachers in a virtual classroom. Among consumers in Asia-Pacific, 44 percent reported higher engagement with educational applications since COVID-19.

“COVID-19 has accelerated the need for reliable and high-quality video offerings to facilitate the remote delivery of vital services like education. Virtual and hybrid options that provide safe and uninterrupted education experiences are now crucial for both students and teachers to have continued access to education,” said Sunny Rao, Vonage Senior Vice President and General Manager for the Asia Pacific region.

“We are proud to support Wall Street English’s digital transformation, leveraging Vonage to embed secure, rich video capabilities to its online platform for customers,” he added.

With an ever-growing network of more than one million registered developers, the Vonage Communications Platform makes it easy for businesses to use APIs to disrupt their industries, and enable the type of business continuity, remote work, and remote delivery of services that is so essential in today’s environment. Vonage APIs allow developers to easily enhance and build innovative customer experiences directly into their existing applications and devices. The Vonage Communications Platform offers a full suite of programmable voice, video, messaging, and email services to forward-thinking businesses worldwide. Through its partners, Vonage’s platform is at the center of many notable transformational projects in the APAC region, and a de facto for startups.

Gannex Announces Positive Phase I Clinical Results on Its THR-β Agonist ASC41

Doses Selected for Phase 2 Trial in Patients with NASH

PR Newswire

SHANGHAI, Jan. 11, 2021 /PRNewswire/ — Gannex, a wholly owned company of Ascletis Pharma Inc. (HKEX: 1672) and fully dedicated to the R&D and commercialization of new drugs in the field of non-alcoholic steatohepatitis (NASH), today announces the positive phase I clinical results of ASC41 oral tablet, a liver-targeted prodrug. The active metabolite of ASC41 is a selective thyroid hormone receptor beta (THR-β) agonist.

This phase I trial is a randomized, double-blind, placebo controlled single- and multiple-ascending dose study in 65 subjects with elevated low-density lipoprotein cholesterol (LDL-C) (> 110 mg/dL), a population characteristic of non-alcoholic fatty liver disease (NAFLD). ASC41 has been formulated in commercially ready oral tablets developed in-house using proprietary technology. In the single-ascending dose portion of the study, preliminary data suggest that ASC41 is safe and well tolerated up to a dose of 20 mg. Furthermore, ASC41 tablet formulation showed a dose-proportional pharmacokinetic profile from 1 mg to 20 mg. In the multiple-ascending dose (MAD) portion of the study, preliminary data suggest that after 14 days of once daily oral dosing, subjects demonstrate clinically meaningful and statistically significant reduction in LDL-C and triglycerides compared to placebo, as shown in the table below.

ASC41 had a benign adverse event profile at all doses following 14-day treatment, with no grade 3 or above adverse events, no serious adverse events or premature discontinuations. Furthermore, ASC41 tablet formulation displayed a dose-proportional pharmacokinetic profile from 1 mg to 5 mg following once daily, 14-day dosing.

“We are pleased with the excellent pharmacokinetic profile using our in-house developed tablet formulation”, said Handan He, PhD, Chief Scientific Officer of Ascletis, “The successful development of the commercially-ready oral formulation at this early stage will accelerate our clinical development.”

“We are excited about the LDL-C and triglyceride reductions in this patient population characteristic of NAFLD, at low doses of ASC41,” said Melissa Palmer, MD, Chief Medical Officer of Gannex, “These results support advancement of the ASC41 clinical program for the indication of NASH.”

Verizon, UPS, and Skyward announce connected drone delivery at CES 2021

PORTLAND, Ore., Jan. 11, 2021 (GLOBE NEWSWIRE) — Skyward, A Verizon company, and UPS Flight Forward today announced collaborative efforts to deliver retail products with drones connected to Verizon 4G LTE, as well as 5G testing and integration for delivery. The companies aim to deliver retail products via connected drones at The Villages in Florida.

“We will need the ability to manage and support multiple drones, flying simultaneously, dispatched from a centralized location, operating in a secure and safe environment. To do this at scale, alongside Verizon and Skyward, we’ll need the power of 5G,” said Carol B. Tomé, CEO of UPS.

“We’re just beginning to see how the power of 5G Ultra Wideband will transform the way businesses operate,” said Rima Qureshi, Chief Strategy Officer at Verizon. “By partnering with UPS and other innovative companies, we can learn from each other’s expertise and collaborate to create solutions that help move the world forward.”

In 2020, Verizon, UPS Flight Forward, and Skyward started testing 4G LTE in delivery drones to demonstrate cellular reliability and performance at altitude.

“The low latency of 5G and edge compute is ideal for monitoring air traffic in and out of a busy logistics hub, especially those using mixed fleets of autonomous vehicles like drones, trucks, and planes,” said Mariah Scott, Skyward President. “This year, we’ll be taking the collaboration with UPS further by testing 5G Ultra Wideband integrations to connect the sky.”

UPS has operated more than 3,800 successful drone delivery flights since the creation of UPS Flight Forward, its drone delivery company, certified by the Federal Aviation Administration in 2019. But in 2020, drone delivery emerged as much more than rapid delivery of essential healthcare items — during the global pandemic it provided high-risk seniors a rapid and contactless delivery option to remain healthy at home.

“Using Verizon’s 5G and Skyward, we’ll be able to transform the delivery experience – more personal, more on-demand and with the same safety, efficiency, and reliability our customers trust today,” said Bala Ganesh, Vice President, Advanced Technology Group at UPS.
