“We are excited to share the positive results of our 2024 exploration drilling program that indicate that the Three Sisters and Gloria vein systems will be significant contributors to our future resource at Don David,” stated Allen Palmiere. “The discovery and definition of the system is exciting and is a testament to our team’s dedication and expertise. These new vein systems have the potential to not only add to our resource potential but to also will enhance our bottom line with improved accessibility and reduced production costs. Underground development has recently intersected the system and the sample results thus far have confirmed the previous drill results. We remain committed to developing this system into the future mine plan and further advancing our exploration efforts with the goal of maximizing shareholder value and organic growth.”

2024 EXPLORATION SUMMARY

The 2024 exploration drill program focused on underground infill and expansion drilling within the Three Sisters and Gloria vein systems as well as in veins of the North Arista system. Significant vein widths and grades identified through drilling have reinforced the emergence of the Three Sisters and Gloria systems as a major third vein system at DDGM, located between and north of the Arista and Switchback systems. The program yielded encouraging results, which were included in the updated S-K 1300 Technical Report Summary for DDGM released on March 5, 2025 (the “Report”), further demonstrating the potential of these vein systems.

The Company believes that the mine has significant potential to generate positive cash flow from the new areas of Three Sisters and Gloria, as well as other areas that have been discovered near the existing mining zones. These new vein systems offer easily accessible resources, situated close to the current mine portal and at significantly higher elevations than current production areas. The location of these vein systems should result in reduced haulage costs and reduced total production costs. In order to develop access and better define these new areas, an investment must be made in additional equipment and development.

2024 Drill Results: The exploration program included 23 underground infill and expansion drill holes, totaling 7,671 meters of diamond drilling at DDGM. Notable high-grade intersections were identified, advancing our exploration objectives by confirming the continuity and quality of polymetallic mineralization up-dip and along strike. The program confirmed and upgraded mineral resources from previous drilling campaigns within the Three Sisters and Gloria vein systems as well as in veins of the North Arista system. The Company expects to conduct additional exploration development in 2025 to enable further infill and expansion drilling to the northwest of the current defined vein extents in the Three Sisters/Gloria zone.

Below are select 2024 exploration infill drill results, including Gold Equivalent1 (“AuEq”) and Net Smelter Return2 (“NSR”) values from the Three Sisters and Gloria vein systems. All drill hole length composites are presented as Estimated True Widths3 (“ETW”) in meters.

1

Gold Equivalent (“AuEq”) g/t is calculated using only gold and silver grades using an Au:Ag ratio of 89:11 and metal prices of y $2,760/oz gold and $31oz silver.

2

Net Smelter Return (“NSR”) is a calculated value of the estimated net revenues per tonne less transportation and refining costs and other miscellaneous payables. The NSR values calculated utilize metal price estimates of $2,760/oz gold, $31/oz silver, $4.15/lb copper, $0.89/lb lead and $1.31/lb zinc.

3

Estimated True Width (“ETW”) for reported vein intercepts are based on 3D models of the individual veins. Estimates are determined in cross-section by measuring the modelled vein thickness perpendicular to the vein margins and through the midpoint of the drill hole intercept. Differences between individual ETW’s and downhole interval lengths will vary between drill holes, depending on drill hole inclination, variations in vein strike and dip, and overall geometries of the different vein systems.

Three Sisters and Gloria Vein Systems

Initial drill intercepts into what is now referred to as the Three Sisters vein system were made in 2017 from underground drill stations in the Arista vein system while targeting northern extensions of veins in the Switchback system. Significant progress in defining this third vein system at DDGM occurred in 2022 and 2023, thanks to targeted underground exploration drilling guided by geologic re-interpretation. In 2024, the geologic model for the Three Sisters and Gloria vein systems was refined and improved using all available underground drill data in preparation for the 2024 year-end resource update.

The Three Sisters and Gloria vein systems remain open to the northwest, up-dip and at depth. Positive results to date have guided the direction of both infill and expansion (step-out) drill programs at DDGM.

Mine Development – Three Sisters

In December 2024, DDGM commenced drift development to access the Three Sisters vein system. The development on Level 4 has successfully intersected the Sandy 1 and Sandy 2 veins, revealing widths of up to 7.5 meters within a complex of colloform banded, hydrothermal breccia quartz veins. Detailed production channel sampling of these veins has confirmed high-grade results, with individual samples returning up to 44.23 AuEq and $2,780/t NSR4.

Life of Mine Plan

The 2024 year-end estimates of Mineral Reserves and Mineral Resources included in the report are the base of DDGM’s Life of Mine (“LOM”) plan. Conceptual stopes were created using Deswik Stope Optimizer software, applying a $120/t NSR cut-off grade. These stopes were then integrated into mine designs and schedules within Deswik to obtain the updated LOM plan. All stopes were evaluated for economic viability, with non-viable stopes excluded from the plan.

As of year-end 2024, measured and indicated Mineral Resources have a conversion rate of 88% to the LOM plan while inferred Mineral Resources have a conversion rate of 74%, resulting in a total average conversion rate of 80% of estimated Mineral Reserves and Mineral Resources.

Compared to the 2023 LOM plan, the 2024 LOM plan reflects a 10% increase in estimated Mineral Resources, primarily driven by a 307% increase of Mineral Resources in the Three Sisters area. Conversely, the Arista and Switchback areas show a decrease in Mineral Resources due to depletion. Additionally, some of the observed increase can be attributed to higher metal prices used in the NSR calculations.

Toyota Brightens the City Streets with New GR86 Yuzu Edition

PR Newswire

  • Company Announces GR86 Yuzu Edition for 2026
  • GR86 Yuzu Edition Features Exclusive Yuzu Yellow Exterior Color, Black Wheels and a Performance Package
  • 2.4-Liter, 4-Cylinder Boxer Engine Generates 228 Horsepower and 184 lb.-ft. of Torque
  • Complimentary 1-year membership to the National Auto Sport Association
  • Expected to arrive at Dealerships Fall 2025

LONG BEACH, Calif.
, April 3, 2025 /PRNewswire/ — For 2026, the Toyota sports car lineup is getting brighter with the GR86 Yuzu Edition. This vibrant exterior color is a nod to a memorable special edition of GR86’s predecessor, the Scion FR-S Release Series 1.0.

Based on the GR86 Premium grade, the special edition will feature 18-inch matte-black wheels and other stunning black accents throughout the vehicle. On the inside, the Yuzu edition features a black interior with yellow accents. Customers will find black Ultrasuede® – trimmed sport seats with yellow perforation and yellow stitching on the steering wheel, parking brake handle, and door trim.

Brembo® Brakes improve stopping power and SACHS Dampers provide additional stability while preserving GR86’s trademark playfulness. Customers can customize their vehicle by adding additional accessories like a cat-back exhaust with GR logoed silver-colored tips, and a body kit to the Yuzu edition for even more self-expression.

For the 2026 model year, the GR86 will be available in three grades – GR86, GR86 Premium and the GR86 Yuzu edition. All grades will offer a choice of a six-speed manual or automatic transmission and will be powered by a 2.4-liter, 4-cylinder boxer engine generating 228 horsepower and 184 lb.-ft of torque.

The GR86 will arrive at Toyota dealerships in the Fall of 2025. There will only be 860 Yuzu editions assembled for the North American market for 2026.

Toyota will share Manufacturers Suggested Retail Price and specs for all grades later this year.

Pure Driving Experience Across All Grades

Each GR vehicle is designed and engineered with a precise attention to detail and unique driving character. The GR86 is a sports car that focuses on performance and balance. Its compact dimensions and responsive chassis make it feel nimble on both tight corners and open roads, delivering an engaging driving experience that emphasizes fun over outright power.

Last year, the GAZOO Racing engineering team made updates to tuning, providing an even more enjoyable ride. Some of the updates included revised throttle mapping to increase the ease of “blipping,” and additional engine torque control to provide a more direct throttle response and linearity to improve ease of control at all speeds.

All of these updates will be carried over to the 2026 models along with the Performance Package available on the GR86 and GR86 Premium grades that include Brembo® Brakes and SACHS Dampers. The Performance Package is standard on the GR86 Yuzu edition. The SACHS Dampers are filled with high-pressure nitrogen and oil and are designed to absorb vibrations across a wide range of speeds, maximize ground contact, and support firm, stable steering, while also balancing road feedback and ride comfort. The red-painted Brembo 4-piston front and 2-piston rear brake calipers clamp down on smooth surfaced 12.8 x 1.3-in front rotors, with 12.4 x .79-in. rotors in the rear.

The dampers and brakes complement the GR86’s chassis, which is known for its taut, agile feel. Crafted from a combination of high-strength steel, hot-stamped steel, and aluminum, each material in the frame is strategically placed to bring drivers a balance of roll and pitch that helps maximize control. Up front, it uses diagonal cross members and high-strength fasteners to join the front suspension and frame together. At the rear, a full ring structure and high-strength fasteners connect the frame and suspension mounts. For additional reinforcement, structural adhesive has been added throughout the underbody. Altogether these enhancements create a cohesive, connected frame.

Light and Fun-to-Drive

All GR86 models pack in modern engineering, tech, and convenience – while sticking to its lightweight sports car roots.

Weighing in at just 2,811 pounds for the manual transmission equipped base grade model, and at 2,851 pounds for the automatic transmission model, the GR86 is one of the lightest sports cars that Toyota develops. An aluminum hood, front fenders, and roof panel help keep the weight down on the body. While details such as the use of structural adhesives in the frame and seats that are over six pounds lighter than the prior generation 86, help save precious ounces in the name of maximum control.

The naturally aspirated 2.4-liter FA-24 engine delivers 228 horsepower and 184 lb.-ft. of torque and is tuned so that peak torque arrives at 3,700 RPM, resulting in a responsive and powerful driving experience. Zero-to-60 acceleration comes in at 6.1 seconds for the 6-speed manual transmission, and 6.6 seconds for the available six-speed electronically controlled automatic transmission (ECT-i). With either transmission, the GR86 comes equipped with a Torsen® limited-slip rear differential for better traction while cornering.

Sports car purists will love GR86’s 6-speed manual transmission. With the push of a button, drivers can engage Track mode or switch off Vehicle Stability Control (VSC). On the automatic transmission GR86, additional clutch discs and a high-capacity torque converter allow for smooth delivery of the 2.4-liter engine’s higher power and torque.

On the inside, a low-slung, driver-focused cockpit with digital instrument panel, push-button start, HVAC system with LED dials and piano-key switches, and a leather-wrapped steering wheel with integrated audio controls keep the driver in complete control of their environment. On the 6-speed automatic, steering-wheel-mounted paddle shifters offer enthusiasts a dynamic driving experience. Drivers can choose between Normal, Sport or Snow modes. When in Sport mode, the transmission senses brake and accelerator operation and vehicle behavior to automatically select the optimal gear, bringing drivers the control they want.

An 8-inch touchscreen multimedia system with a six-speaker audio system comes standard on the base grade and an eight-speaker system is standard on the Yuzu edition and Premium grade. For seating, the Premium grade comes with Ultrasuede®– and leather-trim with black stitching, six-way adjustable front seats with two-level heating. The base grade has six-way adjustable black GR-embossed fabric with sport fabric side bolsters. Rear seats include Ultrasuede® trim on the Premium grade and sport fabric on the base grade.

GR86 Safety, Convenience & Connected Services

All Toyota GR86 models come standard with an Active Safety Suite. On Automatic Transmission models, this suite includes Pre-Collision Braking System, Pre-Collision Throttle Management, Adaptive Cruise Control, Lead Vehicle Start Alert, Rear Sonar Warning, Lane Departure Warning with Sway Warning and Automatic High Beams. Manual Transmission models include Pre-Collision Braking System, Adaptive Cruise Control, Lane Departure and Sway Warning, Lead Vehicle Start Alert, and Automatic High Beams. An anti-theft system with engine immobilizer and alarm are also standard.

Standard on all models, Toyota’s Star Safety System™ includes Vehicle Stability Control (VSC), Traction Control (TRAC), Anti-lock Brake System (ABS), Electronic Brake-Force Distribution (EBD) and Brake Assist (BA). Smart Stop Technology® (SST), Track Mode and Hill Start Assist Control (HAC) round out the suite of active safety systems. Additional safety features include LATCH (Lower Anchors and Tethers for Children) with lower anchors on outboard rear seats and tether anchors on all rear seats and a Tire Pressure Monitor System (TPMS). Seven airbags are standard on all models, including a driver’s knee airbag.

Experience convenience and peace of mind with GR86’s Connected Services* trials, including a one-year trial subscription to Safety Connect* with Emergency Assistance Button and Enhanced Roadside Assistance; a one-year trial of Service Connect, which includes receiving personalized maintenance updates and vehicle health reports; and a one-year trial of Remote Connect so owners can remotely interact with their vehicle through the Toyota app via a compatible smartphone and/or smartwatch. Remote activities enabled by the app include locking/unlocking doors, starting and stopping the vehicle, locating the last parked location, checking vehicle status, and monitoring guest drivers. Motorsports Inspired

To earn the GR badge, GR sport cars go through an intensive track testing process approved by Akio Toyoda, aka Morizo, and the Toyota GAZOO Racing drivers and engineers. Toyota GAZOO Racing is working together with ROOKIE Racing to compete in various endurance and touring car races like the Super Taikyu in Japan to help provide insights and develop new technologies through motorsports. The team uses real-world competitive racing to hone in on what makes a GR a GR.

In 2023, Toyota GAZOO Racing North America developed the GR Cup single-make racing championship that features race-modified GR86s. The series is designed to celebrate car culture and motorsports by enthusiasts, for enthusiasts. It provides an entry-level professional racing opportunity at a more affordable rate, allowing more drivers to compete and help them develop.

Toyota’s commitment to motorsports is one of the many reasons why it also offers a complimentary 1-year membership to the National Auto Sport Association (NASA) giving GR owners the chance to experience the world of performance driving in an enclosed road course. Owners will enjoy a host of benefits, including one free High Performance Driving Event (HPDE) and discounted admission to NASA-sanctioned events.

Take One Last Lap in the Toyota GR Supra MkV Final Edition

PR Newswire

  • Toyota Introduces GR Supra MkV Final Edition at Grand Prix of Long Beach
  • MkV Final Edition Features Optimized Tuning, Improved Braking and Chassis and Suspension Updates
  • 3.0 and 3.0 Premium Grades Available
  • All Grades Offer 382 Horsepower with 368 lb-ft. of Torque

LONG BEACH, Calif.
, April 3, 2025 /PRNewswire/ — Born on the track, the GR Supra is a testament to Toyota’s commitment to motorsports-bred vehicle development, blending engineering excellence, innovation, and lessons learned from the most demanding conditions that only racing can provide. For the 2026 model year, Toyota celebrates this legendary sports car with the GR Supra MkV Final Edition.

In 2019, Akio Toyoda, aka Morizo, reintroduced the GR Supra to the world after a 17-year hiatus. Over the succeeding 6 years, the MkV generation has proven itself from the track to the city streets. To wear the GR badge, a vehicle must prove itself worthy of the marque through rigorous testing by Toyota GAZOO Racing engineers and countless hours on the track with Toyota’s drivers, including Morizo himself, behind the wheel. GR Supra has achieved success in some of motorsports’ most demanding series, including Formula Drift, Super Taikyu in Japan, and the Nürburgring 24 Hours.

In the spirit of kaizen, or continuous improvement, the GR Supra has been updated and enhanced each year in the current model cycle. This “always on” approach to vehicle development provides an avenue for lessons learned from motorsports to be applied to production models quickly and efficiently for the benefit of consumers. For 2026, the GR Supra MkV Final Edition aims to deliver a more integrated experience not only for circuits but also for the long and winding roads where sports car enthusiasts feel most at home. Improved braking performance, an updated suspension, increased body rigidity, optimized tuning, and enhanced aerodynamic performance inspire confidence and turn up the fun.

The GR Supra MkV Final Edition headlines a lineup that also features the GR Supra 3.0 and 3.0 Premium grades – all available with a manual or automatic transmission. Powered by an in-line six-cylinder turbocharged engine, the GR Supra puts out an impressive 382 horsepower and 368 lb.-ft. of torque.

Standard performance features include a double joint-type MacPherson front and multi-link independent rear suspension, sport-calibrated electronic power steering, and dual rear exhaust outlets. All models wear high performance Michelin® Pilot® Super Sport tires for maximum grip of the GR Supra’s rear-wheel drive platform.

The 2026 GR Supra is expected to arrive at Toyota Dealerships in Spring 2025. Production of the fifth-generation GR Supra will end Spring 2026.

MkV Final Edition

For 2026, Toyota is introducing the GR Supra MkV Final Edition – celebrating the GR Supra that was reintroduced in 2019 after Akio Toyoda put together a small team to reimagine what we now know as GAZOO Racing’s flagship sports car. Born from hands-on testing at the Nürburgring, the MkV GR Supra delivers a powerful performance every time the driver gets behind the wheel.

The GR Supra MkV Final Edition offers an elevated driving experience with unique updates to this special edition. Differential control and exclusive control maps have been refined to help improve traction between the tire and the road surface, reducing understeer through turns. And for better braking control, larger Brembo brake discs have been added to the vehicle.

The GR Supra MkV Final Edition has suspension and chassis modifications that enhance stability and strengthen the direct connection to the road. Cornering grip is also increased due to a revised camber angle of the front and rear wheels which gives drivers improved cornering stability. Responsive electronically controlled shock absorbers have been revised and this combines with a stronger front stabilizer to help improve driving performance. A heightened sensation of suspension and body integration is achieved using strengthened rubber bushings for the front control arms and strengthened rubber mounts for the rear sub-frame while better grip and control also come with a stronger under-body brace.

Aerodynamic modifications, including a ducktail carbon fiber rear spoiler, front wheel arch flaps, and higher front tire spats further enhance handling, optimizing front/rear aerodynamic balance and downforce. Meanwhile, the optimized electric power steering delivers a more direct steering feel and improved control.

The distinctive, bold exterior appearance of the GR Supra MkV Final Edition is complimented by new 19-inch matte black wheels, the gloss-finished carbon fiber ducktail rear spoiler, and gloss carbon fiber mirror caps. Inside the vehicle, the genuine leather-trimmed driver’s seat is upholstered in Alcantara and embroidered with the GR logo, while red stitching, red highlights around the gear shift knob, and red seatbelts accentuate the interior’s sporty feel. Customers can also expect a GR cupholder cover and a camo car cover with the vehicle.

Inspired by the GR Supra GT4 EVO2 race car that competes in GT4 category races all over the world, the GR Supra MkV Final Edition will also have a GT4 style pack* option that comes in two new exclusive matte colors: Burnout** and Undercover**. The style pack includes a GT4-inspired side graphic on the exterior, a matte-finished carbon fiber ducktail rear spoiler, a matte-black rear Supra emblem, and red mirror caps.

*The GT4 style pack will not be available until Fall 2025.

**Extra-cost color.

High Performance Stand Out

GR Supra’s 3.0-liter turbocharged inline six-cylinder engine provides exhilarating performance thanks to powerful torque high in the rpm range, delivering a 0-60 time of 3.9 seconds with the 8-speed automatic transmission (AT) and 4.2 seconds when equipped with the manual transmission (MT). AT models have a manufacturer-estimated 22 city/29 highway/25 combined fuel economy rating helped in part by standard start/stop technology, which shuts the engine off while the car is at rest.

The AT allows drivers to focus on the throttle and braking – opening up the possibilities for a thrilling time while driving. The MT features an Intelligent Manual Transmission (iMT) programmed with software that prioritizes sporty performance. When upshifting, the parameters are tuned to optimize engine torque at the moment of clutch engagement and release. On downshifts, the software includes rev-matching for consistent performance. The iMT is set as the default, but, if the driver prefers, it can be switched off in Individual Mode.

Drivers can select from Normal, Sport, and Individual modes that adjust throttle response, suspension damping, and power steering settings. Additionally, all grades include an Adaptative Variable Suspension (AVS) with sensors that constantly detect changes in driving operations and road surface conditions. Solenoid valves finely control the damping force of the shock absorbers. NORMAL mode provides a high-level balance between vehicle stability and supple ride comfort, enabling spirited driving without sacrificing comfort. SPORT mode realizes a reassuring and flat vehicle posture with suppressed roll and a more agile steering response.

Driver-Focused Sports Car Inside and Out

The GR Supra is known for its bold and aggressive exterior that features a wide stance, sharp lines, and its distinct rear spoiler – providing excellent aerodynamics and performance. Available in Stratosphere*, Absolute Zero, Nocturnal, and Renaissance Red 2.0, the 2026 GR Supra will turn heads on the city streets.

On the inside, a refined cockpit design enhances the performance experience. The cabin’s minimalist layout prioritizes functionality and comfort. The 3.0 grade comes with standard black soft-touch Alcantara and leather-trimmed sport seats with power adjustment. The 3.0 Premium grade brings a luxury feel with power adjustable seats that come with an option of black leather-trimmed seats or a hazelnut-colored leather trim. Both grades have standard heated seating.

Modern technology is incorporated effortlessly into the interior with connectivity and audio options that add a sonic dimension to the drive in the GR Supra. Supra Connect** comes standard on the 3.0 Premium along with a 12-speaker, 500-watt JBL® Hi-Fi system. The 3.0 grade can be upgraded to the 12-speaker JBL system with the available Safety & Technology Plus JBL Package, which includes Supra Connect.**

*Extra-cost color.

DEFENDANTS’ ALLEGED MISCONDUCT:

The complaints allege that, throughout the Class Period, Defendants made materially false and/or misleading statements, as well as failed to disclose material facts about the company’s business, operations, and prospects. Specifically, Defendants misrepresented and/or failed to disclose that: (1) AppLovin’s app segment relied on the systematic exploitation of fraudulent advertising practices including “clickjacking” and “click spoofing”; (2) AppLovin’s advertising and e-commerce program relied on intercepting and appropriating advertising attribution credit; (3) AppLovin employed a backdoor installation scheme to force unwanted apps on customers; (4) AppLovin’s revenue was falsely inflated; and (5) as a result, Defendants’ statements about the company’s business, operations, and prospects were materially false and misleading and/or lacked a reasonable basis at all relevant times.

THE LEAD PLAINTIFF PROCESS:

AppLovin investors may, no later than May 5, 2025, seek to be appointed as a lead plaintiff representative of the class through Kessler Topaz Meltzer & Check, LLP or other counsel, or may choose to do nothing and remain an absent class member. A lead plaintiff is a representative party who acts on behalf of all class members in directing the litigation.  The lead plaintiff is usually the investor or small group of investors who have the largest financial interest and who are also adequate and typical of the proposed class of investors. The lead plaintiff selects counsel to represent the lead plaintiff and the class and these attorneys, if approved by the court, are lead or class counsel. Your ability to share in any recovery is not affected by the decision of whether or not to serve as a lead plaintiff.

Kessler Topaz Meltzer & Check, LLP encourages AppLovin investors who have suffered significant losses to contact the firm directly to acquire more information.

SOUN Investors Have Opportunity to Lead SoundHound AI, Inc. Securities Fraud Lawsuit

PR Newswire

NEW YORK
, April 3, 2025 /PRNewswire/ —

Why: Rosen Law Firm, a global investor rights law firm, announces the filing of a class action on behalf of purchasers of securities of SoundHound AI, Inc. (NASDAQ: SOUN, SOUNW) between May 10, 2024 and March 3, 2025, both dates inclusive (the “Class Period”). If you wish to serve as lead plaintiff, you must move the Court no later than May 27, 2025.

So what: If you purchased SoundHound securities during the Class Period you may be entitled to compensation without payment of any out of pocket fees or costs through a contingency fee arrangement.

What to do next: To join the SoundHound class action, go to https://rosenlegal.com/submit-form/?case_id=36267 or call Phillip Kim, Esq. at 866-767-3653 or email [email protected] for more information. A class action lawsuit has already been filed. If you wish to serve as lead plaintiff, you must move the Court no later than May 27, 2025. A lead plaintiff is a representative party acting on behalf of other class members in directing the litigation.

Why Rosen Law: We encourage investors to select qualified counsel with a track record of success in leadership roles. Often, firms issuing notices do not have comparable experience, resources, or any meaningful peer recognition. Be wise in selecting counsel. The Rosen Law Firm represents investors throughout the globe, concentrating its practice in securities class actions and shareholder derivative litigation. Rosen Law Firm achieved the largest ever securities class action settlement against a Chinese Company at the time. Rosen Law Firm was Ranked No. 1 by ISS Securities Class Action Services for number of securities class action settlements in 2017. The firm has been ranked in the top 4 each year since 2013 and has recovered hundreds of millions of dollars for investors. In 2019 alone the firm secured over $438 million for investors. In 2020, founding partner Laurence Rosen was named by law360 as a Titan of Plaintiffs’ Bar. Many of the firm’s attorneys have been recognized by Lawdragon and Super Lawyers.

Details of the case: According to the lawsuit, throughout the Class Period, defendants made false and misleading statements and/or failed to disclose that: (1) the material weaknesses in SoundHound’s internal controls over financial reporting impaired SoundHound’s ability to effectively account for corporate acquisitions; (2) in addition, SoundHound overstated the extent to which it had remediated, and/or its ability to remediate, the material weaknesses in its internal controls over financial reporting; (3) as a result of the foregoing material weaknesses, SoundHound’s reported goodwill following the Amelia Acquisition was inflated and would need to be corrected; (4) further, SoundHound would likely require extra time and expense to effectively account for the SYNQ3 and Amelia Acquisitions; (5) the foregoing increased the risk that SoundHound would be unable to timely file certain financial reports with the SEC; and (6) as a result, SoundHound’s public statements were materially false and misleading at all relevant times. When the true details entered the market, the lawsuit claims that investors suffered damages.

To join the SoundHound class action, go to https://rosenlegal.com/submit-form/?case_id=36267 or call Phillip Kim, Esq. at 866-767-3653 or email [email protected] for more information.

No Class Has Been Certified. Until a class is certified, you are not represented by counsel unless you retain one. You may select counsel of your choice. You may also remain an absent class member and do nothing at this point. An investor’s ability to share in any potential future recovery is not dependent upon serving as lead plaintiff.
