(\u201cDMB\u201d) will continue to steward the Fund, according to preliminary voting results of the Fund\u2019s annual stockholders meeting held on August 27, 2026. A dissident stockholder, Saba Capital Management, L.P. (\u201cSaba\u201d) had put forth its own nominee for election at the Fund\u2019s meeting.<\/p>\n<p>\nThe preliminary voting results follow recommendations from proxy advisory firms, Glass Lewis and Egan-Jones, that stockholders of the Fund vote in favor of the Fund\u2019s three incumbent nominees ahead of the Fund\u2019s annual stockholders meeting. In making their recommendations, Glass Lewis and Egan-Jones rejected the dissident\u2019s nominee, noting that a review of performance for the Fund had shown that a compelling case for change had not been made.<\/p>\n<p>\nStockholders of the Fund also decisively voted against a proposal to amend the Fund\u2019s charter in order to declassify the Fund\u2019s Board of Directors.
