(\u201cMagna\u201d) has commenced an unsolicited tender offer to purchase up to 20,000,000 of the Company\u2019s ordinary shares, par value $0.0001 per share, representing approximately 31% of the Company\u2019s outstanding shares on an as-converted basis, at a price of $1.10 per share in cash, less any applicable withholding taxes and without interest.
