(Nasdaq: PFSA), a digital health company pioneering next-generation biosensor technologies, previously announced the signing of an Option Agreement (the \u201cAgreement\u201d) which provides Profusa the right and option, but not the obligation, subject to satisfaction of certain conditions, to acquire G3 Vision Labs, Inc. and its subsidiaries (\u201cG3&#8243;). \u00a0Upon option exercising, the combined company is expected to operate as a public diagnostics company with national CLIA-certified laboratories, recurring revenues from a diversified base of providers serving addiction treatment, pain management, and behavioral health.<\/p>\n<p>\n        <b>Operations Update:<\/b>\n      <\/p>\n<p>Progress towards satisfaction of the conditions to close the Option Agreement include the following:<\/p>\n<ul>\n<li style=\"margin-top:0in;margin-bottom:0in\">The impact of the Profusa 4:1 reverse stock split that was effective August 18, 2026, and executing the Option Agreement have been supportive of meeting Nasdaq\u2019s minimum listing requirements.
