(NYSE: ANDG), a leading independent provider of tax, valuation and financial advisory services to individuals, family offices, businesses and alternative investment funds in the United States, today announced the pricing of an underwritten public offering of 4,284,457 shares of its Class A common stock by certain selling stockholders at a public offering price of $44.00 per share. Gross proceeds to the selling stockholders are expected to be approximately $188.5 million, before underwriting discounts and commissions and other offering expenses. The selling stockholders have also granted the underwriters a 30-day option to purchase up to an additional 642,668 shares of Class A common stock at the public offering price, less underwriting discounts and commissions. Andersen is not selling any shares in the offering and will not receive any proceeds from the sale of shares by the selling stockholders. The offering is expected to close on August 21, 2026, subject to customary closing conditions.<\/p>\n<p>\nBaird, Truist Securities and UBS Investment Bank are serving as lead book-running managers with William Blair acting as additional book-running manager.<\/p>\n<p>\nThe offering is being made only by means of a prospectus.
