(NYSE: ACH) (the Company) announced today that its Board of Directors adopted a Section 382 Rights Agreement (the \u201cTax Asset Preservation Plan\u201d) designed to protect long-term shareholder value by facilitating the Company\u2019s ability to preserve its net operating loss carryforwards (\u201cNOLs\u201d) and certain other tax attributes.<\/p>\n<p>\nA company generally experiences an ownership change if the percentage of the value of its stock owned by certain \u201c5-percent shareholders,\u201d as such term is defined in Section 382 of the Code, increases by more than 50 percentage points over a rolling three-year period. The Tax Asset Preservation Plan is intended to reduce the likelihood of such an \u201cownership change\u201d under Section 382 of the Code by deterring any person or group from acquiring beneficial ownership of 4.9% or more of the Company\u2019s outstanding common stock.<\/p>\n<p>\nThe Tax Asset Preservation Plan is similar to those adopted by numerous other public companies with significant NOLs. The Tax Asset Preservation Plan is not designed to prevent any action that the Board of Directors determines to be in the best interest of the Company, and will help to ensure that the Board of Directors remains in the best position to discharge its fiduciary duties.<\/p>\n<p>\nIf the Company experiences an \u201cownership change,\u201d as such term is defined in Section 382 of the Internal Revenue Code of 1986, as amended (the \u201cCode\u201d) all holders of rights (other than any triggering person) will be entitled to acquire shares of common stock at a 50% discount or the Company may exchange each right held by such holders for one share of common stock.<\/p>\n<p>\nThe Tax Asset Preservation Plan took effect on August 10, 2026 and is scheduled to continue in effect until August 10, 2029, unless terminated earlier in accordance with its terms.<\/p>\n<p>\nAdditional information about the Tax Asset Preservation Plan will be available on a Form 8-K to be filed by the Company with the U.S. Securities and Exchange Commission.<\/p>\n<p><b><span class=\"bwuline\">August 10 Investor Conference Call for Second Quarter 2026 Financial Results<\/span><\/b><\/p>\n<p>\nAs previously announced, Accendra Health will host a conference call for investors and analysts on August 10, 2026, at 8:00 a.m. E.T.
