(TSX: LAC) (NYSE: LAC) (\u201c<b>Lithium Americas<\/b>\u201d or the \u201c<b>Company<\/b>\u201d) today announced it has entered into a securities purchase agreement (the \u201c<b>Purchase Agreement<\/b>\u201d) with YA II PN, Ltd., an affiliate of Yorkville Advisors Global, LP (\u201c<b>Yorkville<\/b>\u201d), for up to $175 million in aggregate principal amount of subordinated convertible debentures (the \u201c<b>Debentures<\/b>\u201d). Proceeds will further strengthen the Company\u2019s<b \/>liquidity position as it continues its development of Thacker Pass (\u201c<b>Thacker Pass<\/b>\u201d or the \u201c<b>Project<\/b>\u201d), which is designed to produce 40,000 tonnes per year of battery-grade lithium carbonate. The financing complements the Project&#8217;s $2.23 billion U.S. Department of Energy (\u201c<b>DOE<\/b>\u201d) loan (\u201c<b>DOE Loan<\/b>\u201d) and strategic investments from General Motors Holdings LLC (\u201c<b>GM<\/b>\u201d) and funds managed by Orion Resource Partners (\u201c<b>Orion<\/b>\u201d).<\/p>\n<p>\nJonathan Evans, President and Chief Executive Officer of Lithium Americas, said, \u201cThacker Pass is progressing well toward our late 2027 mechanical completion target, with over 1,600 personnel on site and long-lead equipment and materials arriving daily.
