The Notes will be guaranteed on a senior unsecured basis by ICON.<\/p>\n<p>\nThe net proceeds of the Offering are intended to be used to (i) repay all outstanding borrowings under ICON Global Treasury Unlimited Company\u2019s bridge facility credit agreement (the \u201cBridge Secured Credit Facility\u201d), (ii) repay all outstanding term loans under ICON\u2019s senior secured term loan facility (the \u201cExisting Term Loans\u201d) and (iii) redeem, in full, the Issuer\u2019s outstanding 5.809% Senior Secured Notes due 2027 (the \u201c2027 Notes\u201d).<\/p>\n<p>\nUpon repayment of the Bridge Secured Credit Facility and the Existing Term Loans, the collateral securing ICON\u2019s revolving credit facility and ICON group\u2019s existing notes will be automatically released, and the subsidiary guarantees under the existing notes will be automatically released.
