(\u201cSunCar\u201d or the \u201cCompany\u201d) (NASDAQ: SDA), a leader in delivering AI-powered B2B auto insurance and services in China, today announced that, on July 27, 2026, the Company received a notification letter (\u201cNasdaq Notification\u201d) from the Nasdaq Listing Qualifications Department (\u201cNasdaq\u201d) notifying the Company that its Class A ordinary shares, par value $0.0001 per share (the \u201cOrdinary Shares\u201d), is not in compliance with the minimum bid price requirement from June 10, 2026 through July 24, 2026. As set forth in the Nasdaq Listing Rules 5550(a)(2) (\u201cNasdaq Listing Rule\u201d), it requires that the closing bid price for the Company\u2019s Ordinary Shares listed on the Nasdaq be maintained at a minimum of $1.00 per share and failure to meet it for 30 consecutive business days constitutes a compliance deficiency.<\/p>\n<p align=\"justify\">The notification has no immediate effect on the listing of the Company\u2019s Ordinary Shares on the Nasdaq.<\/p>\n<p align=\"justify\">In accordance with the Nasdaq Listing Rule 5810(c)(3)(A), the Company has a period of 180 calendar days from the date of notification, or until January 25, 2027 (the \u201cInitial Compliance Period\u201d), to regain compliance with the minimum bid price requirement. During this period, the Company\u2019s Ordinary Shares will continue to trade on The Nasdaq Capital Market. In accordance with the Nasdaq Listing Rule 5810(c)(3)(H), if at any time during the Initial Compliance Period, the closing bid price of the Company\u2019s Ordinary Shares is at least $1.00 per share for a minimum of ten consecutive business days, Nasdaq\u2019s staff (the \u201cStaff\u201d) will provide a written notification of compliance notifying that the Company has regained compliance with the minimum bid price requirement.<\/p>\n<p align=\"justify\">In the event the Company does not regain compliance by January 25, 2027, it may be eligible for additional time to demonstrate compliance with the bid price requirement pursuant to Nasdaq Listing Rule 5810(c)(3)(A). To qualify for additional time, the Company would be required to meet the continued listing requirement for market value of publicly held shares and all other initial listing standards for The Nasdaq Capital Market, with the exception of the minimum bid price requirement, and to provide written notice of its intention to cure the deficiency during the second compliance period, including by effecting a reverse stock split, if necessary. If the Company meets these requirements, the Staff will inform the Company that it has been granted an additional 180 calendar days. However, if it appears to the Staff that the Company will not be able to cure the deficiency, or if the Company is otherwise not eligible, the Staff will provide notice that its securities will be subject to delisting, in which the Company may appeal any such determination to a Nasdaq hearing panel in accordance with applicable procedures.<\/p>\n<p align=\"justify\">In addition, if, during any compliance period specified in the Nasdaq Listing Rule 5810(c)(3)(A)(iii), the Company\u2019s Ordinary Shares have a closing bid price of $0.10 or less for ten consecutive trading days, Nasdaq will issue a Staff Delisting Determination under Rule 5810 with respect to such securities.<\/p>\n<p align=\"justify\">The Company intends to monitor the closing bid price of its Ordinary Shares between now and January 25, 2027.
