The Option Awards were granted pursuant to the Company\u2019s 2026 Inducement Plan as a material inducement to the individuals entering employment with Faeth in accordance with Nasdaq Listing Rule 5635(c)(4).<\/p>\n<p>\nThe Option Awards, granted effective July 20, 2026, have an exercise price of $28.19 per share, equal to the closing price of the Company\u2019s common stock on the grant date.
