(NYSE: BZH) (\u201cBeazer\u201d or the \u201cCompany\u201d) today issued the following statement in response to a press release issued by Dream Finders Homes (NYSE: DFH) (\u201cDream Finders\u201d):<\/p>\n<p class=\"bwmarginl1\">\nFollowing Dream Finders\u2019 proposal to acquire Beazer for $25.75 per share in cash, made public on May 11, 2026, the Company has received interest from additional parties regarding a range of potential transactions. Beazer\u2019s Board of Directors, in consultation with its financial and legal advisors, is carefully considering all opportunities to maximize shareholder value relative to the Company\u2019s current standalone strategy.<\/p>\n<p class=\"bwmarginl1\">\nIn connection with this work, on June 29, 2026, Beazer informed Dream Finders that it believed Dream Finders\u2019 June 22, 2026, updated proposal to acquire the Company for $29.25 per share continued to significantly undervalue the Company and did not represent an appropriate basis for further discussion. In reaching this decision, Beazer\u2019s Board was informed, in part, by the potential shareholder value represented by other proposals and Beazer\u2019s current standalone strategy.<\/p>\n<p class=\"bwmarginl1\">\nIn a good faith effort to engage constructively, the Company informed Dream Finders that it would, in fact, be willing to enter into discussions if the following three conditions were met:<\/p>\n<ul class=\"bwlistdisc bwmarginl2\">\n<li>\nFirst, Dream Finders would need to submit an improved proposal that was more in line with the values presented by the other alternatives the Board is currently considering.<\/p>\n<\/li>\n<li>\nSecond, Dream Finders would need to sign a customary confidentiality and \u201cstandstill\u201d agreement \u2013 just as other parties have done.<\/p>\n<\/li>\n<li>\nThird, Dream Finders would need to drop its requirement that Beazer negotiate with it on an exclusive basis.<\/p>\n<\/li>\n<\/ul>\n<p class=\"bwmarginl1\">\nOn June 30, 2026, Dream Finders raised the value of its proposal to $32.00 per share and relinquished its exclusivity requirement, but it refused to enter into a customary confidentiality and \u201cstandstill\u201d agreement similar to those entered into by other parties. Instead, Dream Finders decided to make its latest proposal public in what can only be perceived as an attempt to pressure Beazer\u2019s Board to engage with Dream Finders under unilateral terms that Beazer\u2019s Board does not believe to be in the best interests of shareholders.<\/p>\n<p>\nThere can be no assurance that any transaction or other outcome will result from the interest received by the Company.
