The total transaction purchase price was $2.4 billion cash. The adjusted net equity proceeds of approximately $1.7 billion will be used to displace Eversource debt, delivering on our commitment to strengthen the Eversource balance sheet.<\/p>\n<p>On January 27, 2025, Eversource entered a definitive agreement to sell AWC to AWA. As we continue to collaborate with stakeholders across our service territories in Connecticut, Massachusetts and New Hampshire to deliver cost-effective solutions that ensure safe, reliable electric and natural gas service for our customers, we are confident that Aquarion\u2019s operational success, sound management and financial stewardship will continue under the new authority model \u2013 benefitting residents, businesses and communities for years to come.\u201d<\/p>\n<p>As a result of the sale, Eversource expects to recognize an after-tax non-cash non-recurring charge of approximately $115 million, or $0.31 per share, in the second quarter of 2026.\u00a0\u00a0 The Company&#8217;s revised 2026 non-GAAP guidance of $4.57 per share to $4.72 per share includes the impact of the absence of Aquarion earnings. The Company continues to expect that its cumulative long-term earnings per share growth rate would be within the range of 5 to 7 percent through 2030, using the adjusted 2026 non-GAAP earnings guidance mid-point of $4.65 per share as the base year.
