Power Integrations Reports Inducement Grants under Nasdaq Listing Rule 5635(c)(4)<\/b><\/p>\n

SAN JOS\u00c9, Calif.–(BUSINESS WIRE<\/a>)–
\nPower Integrations (Nasdaq: POWI<\/a>) today announced that on June 15, 2026 (the Grant Date), it granted 29,408 restricted stock units (RSUs), 2,246 performance stock units (PSUs), and 12,603 long-term performance stock units (PRSUs) at target to Andrew Hughes, who began employment as General Counsel and Corporate Secretary in May 2026.<\/p>\n

\nIn addition, on the Grant Date, the company granted a total of 3,842 RSUs and 455 PSUs at target to nine other new employees who began their employment with Power Integrations in May and June 2026.<\/p>\n

\nThe inducement grants were issued pursuant to Power Integrations\u2019 Amended and Restated 2025 Inducement Award Plan. One-fourth (1\/4th<\/sup>) of the RSUs will vest on each of the first four anniversaries of the Grant Date, subject to the recipient\u2019s continued service through each applicable vesting date. The PSUs and PRSUs will vest based upon achievement of the Company\u2019s performance metrics for 2026 and 2028, respectively, as determined by the Talent and Compensation Committee of the Company\u2019s Board of Directors, up to a maximum of 200% of the target number of PSUs or PRSUs, as applicable, subject to continued service through December 31st<\/sup> of the applicable year. The inducement grants are subject to the terms and conditions of the applicable RSU, PSU, and PRSU agreements and Power Integrations\u2019 Amended and Restated 2025 Inducement Award Plan.<\/p>\n

\nThe inducement grants were approved by the Talent and Compensation Committee of Power Integrations\u2019 Board of Directors, as required by Nasdaq Rule 5635(c)(4), and were granted as a material inducement to employment in accordance with Nasdaq Rule 5635(c)(4).<\/p>\n
