At the meeting, stockholders approved all proposals included in Chegg&#8217;s definitive proxy dated April 28, 2026 (the &#8220;Proxy&#8221;) and presented at the Annual Meeting, including the election of directors, the advisory vote to approve executive compensation, the ratification of Chegg\u2019s independent registered public accounting firm, and the approval of a proposal authorizing the amendment of Chegg\u2019s Restated Certificate of Incorporation to effect a reverse stock split, subject to and as determined by the Board of Directors (\u201cBoard\u201d) as more fully described in the Proxy.<\/p>\n<p style=\"text-align:justify\">On June 1, 2026, Chegg received formal notification from the New York Stock Exchange (\u201cNYSE\u201d) confirming that it had regained compliance with the NYSE\u2019s continued listing standard related to minimum share price. In light of the restored compliance status, the Board has determined not to proceed with a reverse stock split at this time. The Board believes that maintaining Chegg\u2019s current capital structure is appropriate given Chegg\u2019s return to compliance with the NYSE&#8217;s minimum share price requirement status.
