PALO ALTO, Calif., June 04, 2026 (GLOBE NEWSWIRE) — Scilex Holding Company (\u201cScilex\u201d or the \u201cCompany\u201d) (Nasdaq: SCLX), an innovative revenue-generating company focused on acquiring, developing, and commercializing non-opioid pain management products for the treatment of acute and chronic pain and neurodegenerative and cardiometabolic disease, today announced that its board of directors (the \u201cBoard\u201d) has set June 15, 2026 as the payment date (the \u201cPayment Date\u201d) for the previously announced dividend of Semnur Pharmaceuticals, Inc. (\u201cSemnur\u201d) (OTC: SMNR) common stock held by the Company to its stockholders and certain other eligible holders of Scilex securities (collectively, the \u201cParticipating Holders\u201d) that held such securities as of the record date for the dividend, which is June 1, 2026 (the \u201cRecord Date\u201d). Nasdaq will determine the ex-dividend date in accordance with their rules.<\/p>\n

The Participating Holders will be entitled to receive one (1) share of common stock of Semnur for each share of Scilex common stock held (or for each share of common stock issuable or deemed issuable upon exercise or conversion of such other eligible securities, in each case pursuant to the contractual rights of such other securities). Scilex currently beneficially owns approximately 186 million shares of Semnur common stock and plans to distribute approximately 14.0 million of such shares to the Participating Holders on the foregoing basis.<\/p>\n

The Record Date and the Payment Date for the dividend may be changed by the Board for any reason at any time prior to the actual Payment Date, and payment of the dividend is conditioned upon the Board having not revoked the dividend prior to the Payment Date, including for a material change to the solvency or surplus analysis presented to the Board.<\/p>\n
