The audited consolidated financial statements for the Company for the year ended December 31, 2025 were laid before the Meeting.<\/p>\n<p>\nIn addition, the following resolutions were passed by shareholders:<\/p>\n<ol class=\"bwlistdecimal\">\n<li>\nTo determine that the number of Directors comprising the Board of Directors of the Company (the \u201cBoard\u201d) be set at up to nine (9) Directors until such number is determined or changed in accordance with the bye-laws of the Company (the \u201cBye-laws\u201d) and to authorize the Board to fill any vacancy on the Board left unfilled at any general meeting of shareholders.<\/p>\n<\/li>\n<li>\nTo re-elect, by way of separate resolutions, each of Julie J.
