ATLANTA–(BUSINESS WIRE<\/a>)–Repay Holdings Corporation<\/a> (NASDAQ: RPAY) (\u201cREPAY\u201d or the \u201cCompany\u201d), a leading provider of vertically-integrated payment solutions, today announced an inducement award grant to Rick Watkin in connection with the closing of REPAY\u2019s acquisition of KUBRA Data Transfer, Ltd. (\u201cKUBRA\u201d). Mr. Watkin will serve as President, KUBRA.<\/p>\n

\nREPAY agreed to grant Mr. Watkin 833,333 restricted stock units (\u201cRSUs\u201d) as a material inducement to his entering into employment with the Company effective upon the closing of the KUBRA acquisition. The award was approved by the Compensation Committee (the \u201cCompensation Committee\u201d) of REPAY\u2019s Board of Directors in accordance with Nasdaq Listing Rule 5635(c)(4). The grant was made to Mr. Watkin on June 1, 2026, and the RSUs will vest in equal annual installments over a three-year period beginning on the grant date, subject to Mr. Watkin\u2019s continued service through the applicable vesting dates. The award was granted outside of REPAY\u2019s equity incentive plans and is subject to the terms and conditions of the award agreement covering the grant.<\/p>\n
