Antwerp, May 21, 2026 (GLOBE NEWSWIRE) — CMB.TECH<\/b>\u00a0NV (\u201c<\/b>CMBT<\/b>\u201d, \u201c<\/b>CMB.TECH<\/b>\u201d or \u201cthe\u00a0<\/b>c<\/b>ompany\u201d)<\/b>\u00a0(NYSE: CMBT, Euronext Brussels: CMBT and Euronext Oslo\u00a0<\/b>B\u00f8rs<\/b>: CMBTO)<\/b>\u00a0announces that today the General Meeting of Shareholders has approved the annual accounts for the year ended 31 December 202<\/b>5<\/b>. All other resolutions proposed by CMB.TECH\u2019s Supervisory Board\u00a0<\/b>were also<\/b>\u00a0approved.<\/b>

Re<\/b>appointment of Supervisory Board members<\/b>\u00a0for a period of\u00a0<\/b>three<\/b>\u00a0years<\/b><\/p>\n

Shareholders voted to reappoint independent director Catharina Scheers as member of the Supervisory Board\u00a0until and including the ordinary shareholders\u2019 meeting to be held in 2029. Furthermore, the General Meeting approved the reappointment of\u00a0Debemar\u00a0BV, permanently represented by Patrick De Brabandere, as\u00a0non-independent\u00a0member of the Supervisory Board\u00a0for the same three-year term.\u00a0<\/p>\n

The General Meeting also approved the resignation of Bjarte B\u00f8e as non-independent member of the Supervisory Board and the appointment of\u00a0Bobship\u00a0AS, permanently represented by Bjarte B\u00f8e, as non-independent member of the Supervisory Board\u00a0until the ordinary shareholders\u2019 meeting to be held in 2029.<\/p>\n

In addition, the General Meeting confirmed the co-optation and approved the appointment of Ms. Gudrun Janssens\u00a0and Mr. Carl E. Steen\u00a0as independent members\u00a0of the Supervisory Board\u00a0for a period of three years.<\/p>\n

\n Shareholder distribution out of the available share premium<\/b>

The general meeting also approved\u00a0the\u00a0proposed\u00a0shareholder distribution of minimum\u00a0USD 130 million and maximum USD 200 million\u00a0out of the available share premium. This approval satisfies one of the conditions for\u00a0approval by the\u00a0Supervisory Board of\u00a0a\u00a0distribution of USD 0.64 per share,\u00a0as referred to in the Company\u2019s press release of 19 May 2026.<\/p>\n

All other resolutions\u00a0were\u00a0approved\u00a0as well\u00a0and\u00a0can be found in the convening notice on the CMB.TECH website.\u00a0\u00a0<\/p>\n
