\nMolson Coors Beverage Company (\u201cMCBC,\u201d \u201cMolson Coors\u201d or \u201cthe Company\u201d) (NYSE: TAP, TAP.A, TAP 32; TSX: TPX.A, TPX.B) announced today that its wholly-owned indirect subsidiary, Molson Coors International LP, has commenced a private placement (the \u201cOffering\u201d) in Canada of Canadian dollar-denominated senior notes (the \u201cNotes\u201d). The Offering is expected to close on or about May 27, 2026, subject to customary closing conditions.<\/p>\n

\nMolson Coors intends to use the net proceeds of the Offering for general corporate purposes, including the repayment of the CAD $500 million 3.44% Senior Notes due 2026.<\/p>\n

\nThe Notes will be sold only to Canadian investors in reliance on Regulation S. The Notes have not been and will not be qualified by a prospectus under Canadian securities laws and are being offered on a private placement basis in Canada pursuant to an offering memorandum in reliance upon exemptions from the prospectus requirements under applicable securities legislation and will be subject to resale restrictions.
