(NYSE: FDX, \u201cFedEx\u201d) today announced that its Board of Directors (the \u201cFedEx Board\u201d) has approved the previously announced separation of the FedEx Freight business. The FedEx Board declared a pro rata dividend of 80.1% of the outstanding shares of common stock of FedEx Freight Holding Company, Inc. (\u201cFedEx Freight\u201d) to FedEx\u2019s stockholders of record as of the close of business on May 15, 2026 (the \u201cRecord Date\u201d) to achieve the separation.<\/p>\n<p>\nFollowing the separation, FedEx Freight common stock will begin trading on the New York Stock Exchange (the \u201cNYSE\u201d) on June 1, 2026 under the symbol \u201cFDXF.\u201d<\/p>\n<p>\n\u201cToday\u2019s announcement is an important step as we prepare for a seamless separation of the FedEx Freight business on June 1,\u201d said R. Brad Martin, executive chairman of the FedEx Board and incoming chairman of the FedEx Freight Board of Directors (the \u201cFedEx Freight Board\u201d). \u201cAs separate organizations, FedEx and FedEx Freight will build on their respective industry leadership positions to serve customers with excellence, while creating value for their stockholders.\u201d<\/p>\n<p><b><span class=\"bwuline\">Distribution Details<\/span><\/b><\/p>\n<p>\nFedEx stockholders will be entitled to receive one share of FedEx Freight common stock for every two shares of FedEx common stock held as of the Record Date. Stockholders will receive cash in lieu of fractional shares of FedEx Freight common stock.<\/p>\n<p>\nFedEx will retain 19.9% of the outstanding shares of FedEx Freight common stock. FedEx will dispose of such shares within 24 months of the completion of the separation through one or more subsequent exchanges in repayment of certain FedEx debt held by FedEx creditors and\/or through distributions to stockholders of FedEx as dividends or in exchange for outstanding shares of FedEx common stock.<\/p>\n<p>\nThe distribution of FedEx Freight common stock is expected to be tax-free to holders of FedEx common stock for U.S. federal income tax purposes.<\/p>\n<p><b><span class=\"bwuline\">Trading Details<\/span><\/b><\/p>\n<p>\nBeginning May 27, 2026 and ending at the close of business on May 29, 2026, it is expected that there will be two markets for FedEx common stock on the NYSE, a \u201cregular-way\u201d market and an \u201cex-distribution\u201d market, and a \u201cwhen-issued\u201d market for FedEx Freight:<\/p>\n<ul class=\"bwlistdisc\">\n<li>\nShares of FedEx common stock that trade on the \u201cregular-way\u201d market beginning on the Record Date will trade under the symbol \u201cFDX\u201d with an entitlement to receive shares of FedEx Freight common stock in the distribution.<\/p>\n<\/li>\n<li>\nShares of FedEx common stock that trade on the \u201cex-distribution\u201d market will trade under the symbol \u201cFDX WI\u201d without an entitlement to receive shares of FedEx Freight common stock in the distribution.<\/p>\n<\/li>\n<li>\nHolders of FedEx common stock as of the Record Date can sell those shares on the \u201cex-distribution\u201d market up to and including May 29, 2026 and still receive shares of FedEx Freight common stock.<\/p>\n<\/li>\n<li>\nHolders of FedEx common stock as of the Record Date can sell their entitlements to receive shares of FedEx Freight common stock to be distributed without selling their shares of FedEx common stock on the \u201cwhen-issued\u201d market up to and including May 29, 2026, and such entitlements to shares of FedEx Freight common stock to be distributed will trade under the symbol \u201cFDXF WI.\u201d<\/p>\n<\/li>\n<\/ul>\n<p><b><span class=\"bwuline\">Cash Distribution<\/span><\/b><\/p>\n<p>\nIn connection with the separation and distribution, FedEx Freight will pay a cash dividend of approximately $4.1 billion to FedEx prior to the separation from the proceeds of the $3.7 billion senior notes offering completed in February 2026 and borrowings under its delayed-draw term loan facility.<\/p>\n<p><b><span class=\"bwuline\">Debt Redemption<\/span><\/b><\/p>\n<p>\nIn connection with the separation, FedEx has also announced that it has given notice of its intention to redeem all \u20ac354,878,000 outstanding aggregate principal amount of its 1.300% notes due 2031 (ISIN: XS2034629134) (NYSE: FDX 31) (the \u201cNotes\u201d) with a redemption date of May 28, 2026 (the \u201cRedemption Date\u201d).<\/p>\n<p>\nThe Notes will be redeemed at a redemption price equal to the greater of (i) 100% of the principal amount of the Notes and (ii) the sum of the present values of the remaining scheduled payments of principal and interest on the Notes that would be due if the Notes matured on May 5, 2031 (the par call date), not including any portion of such payments of interest accrued as of the redemption date, discounted to the redemption date on an ACTUAL\/ACTUAL (ICMA) day count basis, at a comparable government bond rate (calculated the third business day prior to the redemption date) plus 25 basis points, plus, in each case, accrued and unpaid interest on the Notes to the Redemption Date.<\/p>\n<p>\nPayment of the redemption price for the Notes will be made in accordance with the applicable procedures of Euroclear Bank SA\/NV and Clearstream Banking, S.A. U.S. Bank Europe DAC, U.K. Branch is the paying agent for the Notes.
