Central Master is owned and controlled by Mr. Tsz Ngo Yu (\u201cMr. Yu\u201d), the existing chief financial officer of the Company, and Mr. Kai Man Fung (\u201cMr. Fung\u201d), a director of a wholly owned subsidiary of the Company.<\/p>\n<p align=\"justify\">In connection with the transaction, the Company also announced changes to its Board of Directors and executive leadership team.<\/p>\n<p>\n        <b>Management and Board Changes<\/b>\n      <\/p>\n<p>Effective April 29, 2026:<\/p>\n<ul>\n<li>Mr. Fung will serve as a director and Chairman of the Board of the Company (the \u201cBoard\u201d);<\/li>\n<li>Mr. Wai Yiu Yau will step down as Chairman of the Board but will remain CEO of the Company;<\/li>\n<li>Mr. Yu will serve as a director of the Company in addition to his current position as Chief Financial Officer; and<\/li>\n<li>Mr. Kin Fung Tsui will serve as an independent director.<\/li>\n<\/ul>\n<p>In addition, Mr. Fan Cheung will resign effective April 30, 2026.
