Shares of NHP\u2019s Class A common stock are expected to begin trading on The Nasdaq Global Market on April 22, 2026 under the symbol \u201cNHP\u201d and the offering is expected to close on April 23, 2026, subject to customary closing conditions. NHP has granted the underwriters a 30-day option to purchase up to an additional 5,775,000 shares of its Class A common stock to cover overallotments, if any.<\/p>\n<p align=\"justify\">NHP intends to use the net proceeds received from the proposed offering to repay approximately $186.0 million of outstanding indebtedness under its revolving credit facility, to fund potential future property acquisitions and for other general corporate purposes.<\/p>\n<p align=\"justify\">Wells Fargo Securities, Morgan Stanley and BMO Capital Markets are acting as lead book-running managers for the offering.
