The Listing Rule requires listed companies to timely file all required periodic financial reports with the Securities and Exchange Commission (the \u201cSEC\u201d).<\/p>\n<p align=\"justify\">This Notice has no immediate effect on the listing of the Company\u2019s securities on Nasdaq. However, if the Company fails to timely regain compliance with the Rule, the Company\u2019s securities will be subject to delisting from Nasdaq.<\/p>\n<p align=\"justify\">The Notice provides that the Company has 60 calendar days, or June 15, 2026, to submit to Nasdaq a plan to regain compliance with the Nasdaq Listing Rule. If Nasdaq accepts the Company\u2019s plan, then Nasdaq may grant the Company up to 180 calendar days from the Filing\u2019s due date, or until October 12, 2026, to regain compliance.
