(NASDAQ: DRVN) (\u201cDriven Brands\u201d or the \u201cCompany\u201d) today announced that it received a notice from The Nasdaq Stock Market LLC (\u201cNasdaq\u201d) on April 15, 2026 (the \u201cNotice\u201d). The Notice indicated that the Company is not in compliance with Nasdaq Listing Rule 5250(c)(1) (the \u201cListing Rule\u201d) as a result of its delay in filing its Annual Report on Form 10-K for the period ended December 27, 2025 (the \u201c2025 Form 10-K\u201d) with the Securities and Exchange Commission (the \u201cSEC\u201d). The Listing Rule requires companies with securities listed on Nasdaq to timely file all required periodic reports with the SEC.<\/p>\n<p>\nThe Notice from Nasdaq is standard practice in the event of a delayed periodic financial report filing. The Notice has no immediate effect on the listing or trading of the Company\u2019s common stock on Nasdaq. In accordance with Nasdaq\u2019s listing rules, the Company has 60 calendar days after the Notice, or until June 15, 2026, to submit a plan of compliance to Nasdaq addressing how the Company intends to regain compliance with the Listing Rule.
