Virtus Dividend, Interest & Premium Strategy Fund Announces Tender Offer<\/b><\/p>\n

HARTFORD, Conn.–(BUSINESS WIRE<\/a>)–Virtus Dividend, Interest & Premium Strategy Fund<\/a> (NYSE: NFJ) (the \u201cFund\u201d) today announced that its Board of Trustees has approved a tender offer (\u201cTender Offer\u201d) intended to enhance shareholder value, provide shareholders with an additional source of liquidity for their investment, and provide the potential to reduce the Fund\u2019s trading discount to its net asset value per share (\u201cNAV\u201d). Pursuant to the terms of the Tender Offer, the Fund will offer to purchase for cash up to 25% of the Fund\u2019s outstanding common shares at a price per share equal to 99.0% of the Fund\u2019s NAV determined following the expiration of the Tender Offer. The Tender Offer is expected to commence on or about September 1, 2026.<\/p>\n

\nThe Tender Offer is being proposed pursuant to an agreement with Saba Capital Management, L.P. (\u201cSaba\u201d) that will expire after the Fund\u2019s 2028 proxy season. During the effective period of the Agreement, Saba has agreed to certain standstill provisions and voting commitments.<\/p>\n
