The vote was held today at an extraordinary general meeting of Janus Henderson shareholders (\u201cSpecial Meeting\u201d) and marks a key milestone toward completion of the transaction.<\/p>\n<p>\nUnder the terms of the definitive agreement with Trian and General Catalyst, as amended on March 24, 2026, owners of shares not already owned or controlled by Trian will receive $52.00 per share in cash upon completion of the transaction.<\/p>\n<p>\nBased on preliminary voting results, an overwhelming 99.7% of the votes cast, representing approximately 83% of the total outstanding Janus Henderson shares as of the March 9, 2026 record date for the Special Meeting, were in favor of the transaction with Trian and General Catalyst.<\/p>\n<p>\nThe final voting results of the Special Meeting will be included in a Form 8-K to be filed with the U.S. Securities and Exchange Commission.<\/p>\n<p>\nThe transaction with Trian and General Catalyst is still expected to close in mid-2026, subject to customary closing conditions, including receipt of applicable regulatory approvals and client consents.<\/p>\n<p><b>Forward Looking Statements<\/b><\/p>\n<p>\nCertain statements in this press release not based on historical facts are \u201cforward-looking statements\u201d within the meaning of the federal securities laws.
