(NASDAQ: SMCI) (\u201cSupermicro\u201d or the \u201cCompany\u201d) today confirmed that an independent investigation is underway regarding the March 2026 indictment of three individuals who were associated with the Company at that time.<\/p>\n<p>\nAs previously disclosed, Supermicro was informed on March 19, 2026 that two employees and a contractor were indicted in connection with an alleged conspiracy to commit export-control violations. Supermicro is not named as a defendant in the indictment and is not accused of any wrongdoing. The Company took swift action, and the three individuals no longer have any relationship with Supermicro.<\/p>\n<p>\nThe investigation is being led by two independent members of the Company\u2019s Board, Scott Angel, Lead Independent Director, and Tally Liu, Chair of the Board\u2019s Audit Committee, who will report their findings and conclusions to the other four independent members of the Board. Mr. Angel, who joined Supermicro\u2019s Board in 2025, spent nearly four decades in Deloitte\u2019s Audit and Assurance practice, including 25 years as an Audit Partner. Mr. Liu also brings deep audit and accounting expertise, including 25 years as a Certified Public Accountant and senior leadership roles in internal audit and finance.<\/p>\n<p>\nThe Board\u2019s independent directors have retained Munger, Tolles &amp; Olson LLP (&#8220;MTO&#8221;), a top-ranked law firm with five decades of experience leading independent investigations. Additionally, MTO has retained AlixPartners as an independent consultant, bringing deep expertise in forensic accounting and audit committee investigations. MTO, AlixPartners and the independent directors will work in close coordination with BDO USA, P.C., the Company\u2019s auditor. MTO and AlixPartners will report their findings directly to Messrs. Angel and Liu.<\/p>\n<p>\nThe independent directors have not set a definitive timetable for the investigation. The Company will provide an update when the investigation is complete and does not intend to comment further until that time.<\/p>\n<p>\nConcurrent with the initiation of the independent investigation, Supermicro initiated an internal review of its Global Trade Compliance Program. The internal review is being led by Yitai Hu, General Counsel and Senior Vice President. DeAnna Luna, the Company\u2019s newly appointed acting Chief Compliance Officer, now reports to the General Counsel.
