\n Poster and Presentation Highlights:<\/strong>\n <\/p>\n

Elevated serum bile acid levels have been associated with metabolic disorders such as MASH and type 2 diabetes. In Sagimet\u2019s Phase 2b FASCINATE-2 clinical trial, denifanstat-treated MASH patients who were histological responders for both fibrosis regression and MASH resolution showed significant reduction in glycine- and taurine-conjugated bile acids at 26 weeks. These data suggest that these circulating bile acid levels may potentially be leveraged as a response biomarker in patients treated with denifanstat.<\/p>\n

\n Inducement Grant<\/strong>\n <\/p>\n

In connection with the hiring of an employee, the Compensation Committee of Sagimet\u2019s Board of Directors approved that an inducement grant of 9,600 stock options to purchase shares of the Company\u2019s Series A common stock, be granted on\u00a0April 3, 2026,\u00a0to the newly hired employee.<\/p>\n

The option award was granted pursuant to the Nasdaq Rule 5635(c)(4) inducement grant exception as a component of the individual\u2019s employment compensation and was granted as an inducement material to the acceptance of employment with Sagimet.<\/p>\n

The options have an exercise price equal to the closing price of Sagimet\u2019s Series A common stock as reported by the Nasdaq Global Market on\u00a0April 2, 2026. The options have a ten-year term and vest over four years, with 25% of the number of shares underlying each stock option vesting on the one-year anniversary of the applicable vesting commencement date (based on the employee\u2019s employment commencement date) and the remaining shares vesting monthly over 36 months thereafter, subject to the individual\u2019s continued service with Sagimet through the applicable vesting dates.<\/p>\n
