(NYSE: GEL) today announced that receipt of tenders for an aggregate principal amount of $415,942,000 of our outstanding 7.750% senior notes due 2028 (the \u201cNotes\u201d) that we co-issued with our subsidiary, Genesis Energy Finance Corporation in connection with its previously announced cash tender offer (such transaction, the \u201cTender Offer\u201d) to purchase any and all of the aggregate principal amount outstanding of the Notes, as of 5:00 p.m., New York City time, on March 3, 2026 (the \u201cEarly Tender Deadline\u201d), as well as the expected initial settlement date for the Tender Offer on March 5, 2026 (the \u201cInitial Settlement Date\u201d).<\/p>\n<p>\nWe will continue to accept Notes tendered after the Early Tender Deadline for any and all Notes, $679,360,000 aggregate principal amount of which was outstanding when the Tender Offer was announced. The Tender Offer will expire at 5:00 p.m., New York City time, on March 18, 2026, unless extended or earlier terminated (such time and date as the same may be extended, the \u201cExpiration Time\u201d). The withdrawal deadline for validly tendered Notes was 5:00 p.m., New York City time, on March 3, 2026. Holders of Notes who validly tender their Notes following the Early Tender Deadline and at or prior to the Expiration Time will receive the applicable \u201cTender Offer Consideration\u201d per $1,000 principal amount of any such tendered Notes that are accepted for purchase, which is equal to the Total Consideration minus the Early Tender Payment. The settlement date for Notes that are tendered following the Early Tender Deadline but at or prior to the Expiration Time is expected to be March 20, 2026 (the \u201cFinal Settlement Date\u201d).
