(NYSE: YEXT), the leading brand visibility platform, today announced that it is amending its previously announced \u201cmodified Dutch Auction\u201d tender offer for shares of its common stock to decrease the maximum aggregate purchase price of shares to be repurchased in the tender offer from $180,000,000 to $140,000,000. The decision follows a re-evaluation by Yext of the value of borrowing additional funds under Yext\u2019s existing credit facilities due to the increased cost of such capital as a result of recent macro-economic developments, including geopolitical tensions, significant stress in the private capital markets, and increased inflationary concerns.<\/p>\n<p>\nIn connection with the amendment, Yext has extended the expiration time of the tender offer from 5:00 p.m., New York City time, on March 12, 2026 to 5:00 p.m., New York City Time on March 18, 2026 (unless further extended or earlier terminated). The closing price of Yext\u2019s common stock on the New York Stock Exchange on March 3, 2026, the last full trading day before the amendment of the tender offer, was $5.67 per share.<\/p>\n<p>\nBased on information provided by Broadridge Corporate Issuer Solutions, LLC, the depositary for the tender offer, to date, 3,000 shares have been tendered for purchase in the tender offer.
