(Nasdaq: IACOU) (the \u201cCompany\u201d) today announced the closing of its initial public offering of 35,000,000 units at a public offering price of $10.00 per unit. Each unit consists of one Class A ordinary share and one-third of one redeemable warrant, with each whole warrant exercisable to purchase one Class A ordinary share at a price of $11.50 per share.<\/p>\n<p align=\"justify\">The units are listed on The Nasdaq Global Market (\u201cNasdaq\u201d) and commenced trading under the ticker symbol \u201cIACOU\u201d on February 11, 2026. Once the securities comprising the units begin separate trading, the Class A ordinary shares and warrants are expected to be listed on Nasdaq under the symbols \u201cIACO\u201d and \u201cIACOW,\u201d respectively.<\/p>\n<p align=\"justify\">Concurrently with the closing of the initial public offering, the Company closed on a private placement of 6,000,000 warrants at a price of $1.50 per warrant, resulting in gross proceeds of $9,000,000. Idea Tender LLC, the Company\u2019s sponsor, purchased 3,666,667 of the private placement warrants, Cantor Fitzgerald &amp; Co. purchased 1,633,333 of the private placement warrants and Odeon Capital Group, LLC purchased 700,000 of the private placement warrants. Each private placement warrant is exercisable to purchase one Class A ordinary share at $11.50 per share.
