The restricted stock units were granted as a material inducement to employment with Cardlytics in accordance with Nasdaq Listing Rule 5635(c)(4) and were granted under the Cardlytics, Inc. 2022 Inducement Plan (the \u201c2022 Inducement Plan\u201d).<\/p>\n<p>\nHalf of the restricted stock units underlying the award shall vest on February 1, 2027, and the remaining 50% shall vest quarterly over the subsequent 12 months, subject to Evans\u2019 continuous service with Cardlytics through each vesting date.
