The stock options have a maximum term of 10 years. A total of 25% of the award will vest on November 17, 2026, with the remainder vesting in equal monthly installments over the subsequent 36 months. The stock options were granted as a material inducement to the individual\u2019s employment and were approved by Shattuck\u2019s independent Compensation Committee, in accordance with Nasdaq Listing Rule 5635(c)(4).
