The offering was priced at $10.00 per unit, resulting in gross proceeds of $172,500,000. Of the proceeds received from the consummation of the initial public offering and a simultaneous private placement of units, $172,500,000 was placed in the Company\u2019s trust account for the benefit of the Company\u2019s public shareholders.<\/p>\n<p align=\"justify\">The Company\u2019s units began trading on the Nasdaq Global Market (\u201cNASDAQ\u201d) on December 12, 2025, under the ticker symbol \u201cTWLVU.\u201d Each unit consists of one Class A ordinary share of the Company and one right to receive one tenth (1\/10) of a Class A ordinary share upon the consummation of the Company\u2019s initial business combination. Once the securities comprising the units begin separate trading, the Class A ordinary shares and rights are expected to be listed on NASDAQ under the symbols \u201cTWLV\u201d and \u201cTWLVR,\u201d respectively.\u00a0<\/p>\n<p align=\"justify\">The Company is a blank check company formed for the purpose of effecting a merger, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses.
