(NASDAQ: LWAY) (\u201cLifeway\u201d or the \u201cCompany\u201d), a leading U.S. supplier of kefir and fermented probiotic products, today issued the following statement in response to Edward Smolyansky\u2019s (the \u201cDissident\u201d) intent to nominate George Sent, Managing Director of Cascadia Capital, and the Dissident (the \u201cDissident Nominees\u201d) for election to the Company\u2019s Board of Directors:<\/p>\n<p>Dear Fellow Shareholders,<\/p>\n<p>The track record of the Dissident Nominees demonstrates they are unfit to serve on the Company\u2019s Board of Directors and lead the Company and pose a clear risk to shareholder value.<\/p>\n<p>\n        <strong>The Dissident Nominees have disqualifying issues raising ethical c<\/strong><br \/>\n        <strong>oncerns.<\/strong>\n      <\/p>\n<ul type=\"disc\">\n<li>Ed Smolyansky:\n<ul type=\"circle\">\n<li>Terminated for cause as Lifeway\u2019s COO in 2022<\/li>\n<li>Intoxicated on multiple occasions during the performance of his duties while an employee and director of Lifeway<\/li>\n<li>Subject to an emergency protection order prohibiting him from communicating with or going near Lifeway\u2019s CEO, Julie Smolyansky<\/li>\n<li>Founded a direct competitor of Lifeway<\/li>\n<li>Being sued in the Circuit Court of Cook County Illinois by CIBC Bank USA for his default on a $4,551,056.22 million Note executed in 2019, breach of a forbearance agreement and foreclosure of a mortgage issued by Ed\u2019s Illinois liability company &#8211; 1219 WELLS STREET MANAGEMENT II -of which he is the sole member, provided as security for the initial and subsequent business loans all as more specified in the lawsuit (the \u201cForeclosure Lawsuit\u201d)<\/li>\n<li>CIBC is moving for Summary Judgment, Motion for Entry of Default and Motion for Judgment of Foreclosure in the Foreclosure Lawsuit with an Order entered on November 19, 2025, setting a hearing on CIBC\u2019s Motion for February, 2026<\/li>\n<li>Created multiple social media accounts under various pseudonyms to post negative statements about Lifeway, including while he was serving as a Director of Lifeway<\/li>\n<\/ul>\n<\/li>\n<li>Ludmila Smolyansky, the Dissident\u2019s mother, with whom the Dissident files Schedule 13Ds and votes:\n<ul type=\"circle\">\n<li>Facing over $2.3 million in federal and state tax liens<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p>\n        <strong>George Sent, Managing director of Cascadia Capital <\/strong>\n      <\/p>\n<p>As Lifeway\u2019s former Lead Independent Director and Chair of the special committee that investigated the Dissident\u2019s misconduct and recommended removing several of his titles and responsibilities, Mr. Sent\u2019s sudden willingness to align himself with the Dissident is a disturbing reversal of principle that underscores questionable judgment and deeply concerning ethics.<\/p>\n<p>\n        <strong>The Dissident\u2019s personal financial distress and that of Ludmila Smolyansky, his mother, and the limited amount of shares they can sell in the aggregate each calendar year seem to be fueling their demands for a sale of the Company at any price and could cause the Dissident Nominees to vote in ways that help the Dissident and his mother personally but are not in the best interests of other shareholders.<\/strong>\n      <\/p>\n<p>The Dissident and his mother have repeatedly advocated for a sale of the Company, including after the stock closed at $5.07 per share on February 18, 2022, which is well below both the Company\u2019s current share price.<\/p>\n<p>The Foreclosure Lawsuit instituted against Dissident resulting from his default on a $4,551,056.22 million Note executed in 2019 and other defaults as asserted by CIBC in the Foreclosure Lawsuit and federal and state tax liens against Ludmila Smolyansky, Dissident\u2019s mother, among other debts, may have led Dissident and his mother to push for a quick sale of Lifeway at any price. In fact, the first of Ludmila Smolyansky\u2019s $2.3 million in federal and state tax liens was filed about a year before she and the Dissident initially demanded that Lifeway run a sale process in 2022.<sup>i<\/sup><\/p>\n<p>In the last five years, neither the Dissident nor Ludmila Smolyansky has purchased a single share of Lifeway common stock. Instead, they have sold a total of more than 2.5 million shares of Lifeway common stock, including sales of more than 1.1 million shares at prices below $8.00 per share.<sup>ii<\/sup><\/p>\n<p>The Dissident has not secured employment since his removal from Lifeway and claims to have made a substantial investment in a new venture he has alternated between calling \u201ca joke\u201d and describing as a kefir company intended to compete directly with Lifeway. In addition, he has created multiple social media accounts using several pseudonyms which he used to post negative statements about Lifeway, including while he was a member of Lifeway\u2019s Board of Directors. This pattern of contradictory statements, misinformation, and demonstrated financial irresponsibility raises grave concerns about his fitness to serve as a fiduciary, his ability to act in the best interests of all shareholders rather than himself and his mother, and his judgment in overseeing any public company. Even more troubling is that George Sent of Cascadia Capital has chosen to align himself with the Dissident despite this highly concerning information being readily available in the public record.<\/p>\n<p>\n        <strong>Institutional Shareholder Services ISS, has warned shareholders about the Dissident\u2019s prior director nominees including George Sent and proposals.<\/strong>\n      <\/p>\n<p>In its July 2025 report, Institutional Shareholder Services (\u201cISS\u201d), a leading proxy advisor, recommended Lifeway shareholders \u201cDO NOT VOTE\u201d on all proposals put forth by the Dissident and Ludmila Smolyansky and their aligned group, including Mr. Sent. The Dissident continues to make the same arguments for change as he has in the past.
