(the \u201cIssuer\u201d), has priced an offering of $400 million aggregate principal amount of 8.50% Senior Notes due 2028 (the \u201cNotes\u201d) in a private offering to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the \u201cSecurities Act\u201d), and outside the United States to non-United States persons in compliance with Regulation S under the Securities Act. The Notes will be the senior, unsecured obligations of the Issuer and will be fully and unconditionally guaranteed on a senior, unsecured basis by Arbor.
