The Notes were offered to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and outside the United States<\/span> in compliance with Regulation S under the Securities Act. The offering of the Notes is expected to close on December 9, 2025<\/span>, subject to customary conditions.<\/p>\n

The Notes will be unconditionally and irrevocably guaranteed by DXC and DXC Luxembourg International S.\u00e0 r.l., a Luxembourg<\/span> private limited liability company (soci\u00e9t\u00e9 \u00e0 responsabilit\u00e9 limit\u00e9e<\/i>) and the direct parent of the Issuer. DXC currently intends to apply the net proceeds from the offering of the Notes to repay its existing indebtedness, including DXC’s 1.750% Senior Notes due 2026, and for working capital and general corporate purposes.<\/p>\n

The Notes and related guarantees will not be registered under the Securities Act, or any state securities laws, and may not be offered or sold in the United States<\/span> absent registration, except pursuant to an exemption from the registration requirements of the Securities Act and applicable state securities laws.
