(the \u201cSelling Stockholder\u201d), an affiliate of the funds known as EQT Infrastructure III and EQT Infrastructure IV. Kodiak will not sell any shares of its common stock in the Offering and will not receive any proceeds from the sale of the shares of its common stock being offered by the Selling Stockholder. The Offering is subject to market and other conditions, and there can be no assurance as to whether or when the Offering may be completed.\n<\/p>\n<p>\nFollowing the Offering, the Selling Stockholder will not beneficially own any shares of the Company\u2019s common stock, other than de minimis amounts held or owned from time to time in the ordinary course of business.
