(CII) Announces Special Distribution<\/b><\/p>\n<p>NEW YORK&#8211;(<a href=\"http:\/\/www.businesswire.com\">BUSINESS WIRE<\/a>)&#8211;<br \/>\nBlackRock Enhanced Large Cap Core Fund, Inc. (NYSE: CII) (the \u201cFund) announced a special distribution today of $75 million at a rate of $1.833 per share of the Fund\u2019s common stock (\u201cShares\u201d) to be paid on January 16, 2026 to shareholders of record as of December 3, 2025 (ex-date December 3, 2025) (\u201cShareholders\u201d). Shareholders may elect to receive the distribution in cash (a \u201cCash Election\u201d), subject to the limitations set forth below, by indicating their preference on an election form that will be delivered to Shareholders at a future date. However, the total amount of cash to be distributed to all shareholders shall be limited to 20% of the total distribution amount. Shareholders making Cash Elections who do not receive 100% of the distribution in cash, will receive the balance in Shares.<\/p>\n<p>\nThe following information outlines certain aspects of the special distribution. The following summary is provided for information purposes only and may be subject to change. More details will be provided to Shareholders at a future date.<\/p>\n<p><span class=\"bwuline\">Summary:<\/span><\/p>\n<ul class=\"bwlistdisc\">\n<li>\nThe total amount of cash to be paid out in the distribution to all Shareholders is limited to a maximum of 20% of the aggregate dollar amount of the distribution (the \u201cCash Amount\u201d). The remainder of the distribution (approximately 80%) will be paid in Shares.<\/p>\n<\/li>\n<li>\nIf Cash Election requests exceed the Cash Amount, the Cash Amount will be prorated, and the remaining portion of the distribution will be paid to Shareholders in Shares plus cash in lieu of any fractional Shares. In no event will any Shareholders making a Cash Election receive less than 20% of their distribution in cash.<\/p>\n<\/li>\n<li>\nIf a Shareholder does not complete an election form or if a Shareholder\u2019s election form is not received timely by the election and disbursing agent, or is otherwise deemed to be invalid, such Shareholder will receive the distribution in Shares (with the exception of cash in lieu of fractional shares) or a combination of cash and Shares to the extent cash must be distributed to satisfy certain tax requirements.<\/p>\n<\/li>\n<li>\nShareholders enrolled in the Fund\u2019s dividend reinvestment program will be allowed to make a Cash Election. Such election will affect only this special distribution; it will not be treated as the Shareholder opting out of the dividend reinvestment program for future distributions.<\/p>\n<\/li>\n<li>\nAll Shares issued in connection with the special distribution will be issued in book-entry form.<\/p>\n<\/li>\n<li>\nIf a Shareholder\u2019s Shares are held in the name of a bank or broker, such Shareholder will be required to inform the bank or broker of any election instructions.<\/p>\n<\/li>\n<li>\nOnce an election to receive cash is made, it is irrevocable.<\/p>\n<\/li>\n<li>\nSubject to the conditions discussed below, Shares will be issued at the lower of the net asset value (&#8220;NAV&#8221;) per Share or the market price per Share on the valuation date, January 2, 2026 (the \u201cValuation Date\u201d), which is the first business day after elections are due.
