The notes will be offered pursuant to certain exemptions from registration under the Securities Act of 1933, as amended (the \u201cSecurities Act\u201d).\n<\/p>\n<p>\nTransco intends to use the net proceeds from the offering to fund the redemption of all $1.0 billion aggregate principal amount of its 7.850% Senior Notes due 2026 and to pay associated fees and expenses.
