\nJack in the Box Inc. (NASDAQ: JACK) (the \u201cCompany\u201d) today announced the appointment of two new independent directors, Mark King and Alan Smolinisky, to the Company\u2019s Board of Directors (the \u201cBoard\u201d), effective within five business days. Messrs. King and Smolinisky are being appointed in connection with a cooperation agreement between the Company and one of its stockholders, GreenWood Investors, LLC (\u201cGreenWood\u201d), following constructive engagement. With the addition of these two directors, the Board will expand its size to 10 members.<\/p>\n
\nIn connection with the cooperation agreement, the Board will form a Capital Allocation Committee, to be chaired by Mr. Smolinisky. GreenWood has agreed to vote its shares in favor of all of the Board\u2019s director nominees at the Company\u2019s 2026 Annual Meeting of Stockholders (the \u201c2026 Annual Meeting\u201d), and has also agreed to customary standstill, voting and other provisions.
