There were fewer than one-third of outstanding shares of the Company\u2019s common stock entitled to vote present, either in person or by proxy at this meeting. The special meeting of stockholders therefore had no quorum and the meeting was adjourned to allow additional time for the Company\u2019s stockholders to vote on the proposals set forth in the Company\u2019s definitive proxy statement filed with the United States Securities and Exchange Commission (the \u201cSEC\u201d) on August 18, 2025 (the \u201cProxy Statement\u201d). As set forth in the Proxy Statement, the Company has engaged a proxy solicitor, Mediant Communications Inc. to assist management with obtaining adequate votes to achieve the required quorum of at least one-third of the outstanding shares entitled to vote.<\/p>\n<p align=\"justify\">Only stockholders of record, as of the record date, July 28, 2025 are entitled to and are being requested to vote.
