SMITHS FALLS, Ontario–(BUSINESS WIRE<\/a>)–
\nCanopy Growth Corporation (\u201cCanopy Growth\u201d or the \u201cCompany\u201d) (TSX:WEED) (NASDAQ:CGC) today announced that, due to the requisite quorum not being present, the annual general and special meeting of shareholders (the \u201cMeeting\u201d) scheduled for September 26, 2025 at 1:00 p.m. Eastern Time via live webcast was convened and then adjourned. The Meeting has been adjourned until October 10 at 1:00 PM ET and will be held via live audio webcast at www.virtualshareholdermeeting.com\/WEED2025<\/a>, allowing holders (\u201cShareholders\u201d) of Canopy Growth common shares (the \u201cShares\u201d) additional time to vote.<\/p>\n

\nDuring the period of the adjournment, the Company will continue to solicit votes from its Shareholders with respect to the proposals set forth in Canopy Growth\u2019s definitive proxy statement dated August 7, 2025 (the \u201cProxy Statement\u201d). All Shareholders who have not voted their Shares are encouraged to do so as soon as possible. Shareholders of record as of the close of business on August 1, 2025 are eligible to vote at the adjourned Meeting.<\/p>\n

Nasdaq Quorum Requirement for Adjourned Meeting to Proceed<\/b><\/p>\n

\nAs a requirement of the Company\u2019s NASDAQ listing, a quorum at the adjourned Meeting consists of the presence, in person, by remote communication or by proxy duly authorized, of the holders of 33 1\/3% of the outstanding Shares entitled to vote at the adjourned Meeting.<\/p>\n
