WESTERN ASSET HIGH INCOME FUND II INC. Announces Results of Annual Meeting of Stockholders<\/b><\/p>\n

NEW YORK–(BUSINESS WIRE<\/a>)–
\nWestern Asset High Income Fund II Inc. (the \u201cFund\u201d) (NYSE: HIX) announced today the results of the votes cast at the Fund\u2019s annual meeting of stockholders held on September 19, 2025.<\/p>\n

\nStockholders approved the proposal to amend the charter of the Fund to increase the total number of authorized shares of capital stock from 100,000,000 shares to 200,000,000 shares.<\/p>\n

\nCarol L. Colman, Peter Mason and Jane Trust were elected as Class III Directors of the Fund by holders of record of the Fund\u2019s outstanding shares of common stock to hold office until the annual meeting of shareholders in the year 2028, or until their respective successors have been duly elected and qualified, or until they resign or are otherwise removed.<\/p>\n

\nIn addition, the stockholders voted to ratify the selection of PricewaterhouseCoopers LLP as independent registered public accountants of the Fund for the fiscal year ending April 30, 2026.<\/p>\n

\nThe Fund is a diversified closed-end management investment company that is managed by Franklin Templeton Fund Adviser, LLC (\u201cFTFA\u201d), and subadvised by Western Asset Management Company, LLC (“WAMCo”) and certain of WAMCo\u2019s foreign-based affiliates.
