ATLANTA–(BUSINESS WIRE<\/a>)–Repay Holdings Corporation<\/a> (NASDAQ: RPAY) (“REPAY”), a leading provider of vertically-integrated payment solutions, today announced an inducement award grant to Robert S. Houser in connection with his appointment as REPAY\u2019s Chief Financial Officer.<\/p>\n

\nAs previously disclosed, REPAY agreed to grant Mr. Houser restricted stock with a total value of $700,000 as a material inducement to entering into employment with the company. The award was approved by the Compensation Committee of REPAY\u2019s Board of Directors under Nasdaq Listing Rule 5635(c)(4). The grant of 118,243 shares of restricted stock was made to Mr. Houser on September 8, 2025, and the shares will vest in equal annual installments over a four-year period beginning on the grant date, subject to Mr. Houser\u2019s continued service through the applicable vesting dates. The award was granted outside of REPAY\u2019s equity incentive plans and is subject to the terms and conditions of the award agreement covering the grant.<\/p>\n
